This Purchase Order is issued by Andina Digital Solutions S.A.S. to formally request and authorize the procurement of professional services rendered by a qualified Software Engineer to be deployed and performing duties within the city of Colombia Medellín, specifically at our headquarters located in the El Poblado district. The Software Engineer shall be responsible for the design, development, testing, and maintenance of enterprise-grade software applications supporting our client portfolio in the financial services and e-commerce sectors.
The selected Software Engineer must possess a minimum of five (5) years of professional experience in full-stack development, with demonstrated proficiency in Java, Python, React, and cloud-based architectures (AWS and Google Cloud). The professional shall operate under the direct supervision of the Lead Architect at our Medellín office and must comply with all internal security protocols, data handling regulations, and the Colombian Labor Code (Código Sustantivo del Trabajo, Decreto 2351 de 1966) as applicable to professional service contracts.
All deliverables produced by the Software Engineer during the term of this Purchase Order shall be the exclusive intellectual property of Andina Digital Solutions S.A.S., in accordance with Colombian intellectual property law (Ley 23 de 1982) and the applicable provisions of the Andean Community Decision 351.

4.1 Payment Terms: Payment shall be made on a monthly basis within fifteen (15) calendar days following the receipt of a valid invoice (Factura Electrónica) issued in compliance with the DIAN electronic invoicing regulations (Resolución 000042 de 2023). Payment will be processed via bank transfer to the account designated by TechPro Colombia S.A.S.
4.2 Place of Performance: All services under this Purchase Order shall be performed at the Andina Digital Solutions S.A.S. office located in Medellín, Antioquia, Colombia. The Software Engineer is expected to be physically present at the Medellín workplace a minimum of four (4) days per week, with one (1) day permitted for remote work, subject to project requirements.
4.3 Working Hours: The Software Engineer shall observe the standard working schedule in Colombia Medellín: Monday through Friday, 8:00 AM to 5:00 PM, with a one-hour lunch break, in accordance with the Colombian Labor Code.
4.4 Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination for cause, the notice period shall be reduced to ten (10) days. All outstanding deliverables must be completed and handed over prior to the effective date of termination.
4.5 Confidentiality: The Software Engineer shall be bound by a Non-Disclosure Agreement (NDA) covering all proprietary information, source code, client data, and business strategies of Andina Digital Solutions S.A.S. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
4.6 Compliance: The vendor and the Software Engineer shall comply with all applicable laws and regulations of the Republic of Colombia, including but not limited to the Colombian Labor Code, the General Tax Statute (Estatuto Tributario), DIAN regulations, and data protection laws (Ley 1581 de 2012 – Habeas Data).
4.7 Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through the competent labor courts of Medellín, Antioquia, Colombia, or through arbitration in accordance with the rules of the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Medellín.
4.8 Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Medellín metropolitan area.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Software Engineer at the Medellín, Colombia office. This document constitutes a binding agreement between the parties for the duration specified herein.
