This Purchase Order is issued by TechNova Solutions SAS to formally procure the services of a qualified Software Engineer to be engaged on a fixed-term contract basis. The Software Engineer shall be physically based in France Lyon and will report directly to the Head of Engineering at the buyer's Lyon headquarters. The engagement is intended to support the development, maintenance, and architectural design of the company's enterprise-grade SaaS platform, which serves over 12,000 active clients across the European market.
The Software Engineer selected under this Purchase Order must demonstrate a minimum of five (5) years of professional experience in full-stack software development, with proven expertise in at least two of the following technology stacks: Java/Spring Boot, Python/Django, TypeScript/React, and PostgreSQL. The candidate must be legally authorized to work in France and must reside in or relocate to the France Lyon metropolitan area no later than the required delivery date specified above.
The Software Engineer engaged pursuant to this Purchase Order shall be responsible for the following deliverables and ongoing activities while stationed in France Lyon:

- Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from this Purchase Order regarding the engagement of the Software Engineer in France Lyon shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Lyon.
- Work Location: The Software Engineer shall perform all duties at the buyer's premises located in France Lyon (12 Quai de Serbie, 69009 Lyon) for a minimum of four (4) days per week. Remote work may be authorized for up to one (1) day per week at the sole discretion of the buyer's management.
- Intellectual Property: All work product, code, documentation, and intellectual property created by the Software Engineer during the term of this Purchase Order shall be the exclusive property of TechNova Solutions SAS. The supplier warrants that the Software Engineer shall not bring any conflicting proprietary code or trade secrets into the France Lyon workplace.
- Confidentiality: The Software Engineer shall be bound by a strict non-disclosure agreement (NDA) covering all proprietary information, client data, and business strategies of the buyer. This obligation survives the termination of this Purchase Order for a period of three (3) years.
- Payment Schedule: Invoices shall be submitted monthly in arrears. Payment for the Software Engineer services shall be made within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month in accordance with French commercial law (Article L441-10 of the Code de commerce).
- Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of material breach by the supplier, the buyer may terminate this Purchase Order with immediate effect. Upon termination, the supplier shall ensure an orderly transition of the Software Engineer's responsibilities to the buyer's internal team in France Lyon.
- Compliance: The supplier warrants that the Software Engineer engaged under this Purchase Order complies with all applicable French labor laws, social security regulations, and data protection requirements (GDPR). The supplier shall bear full responsibility for the employment contract, social contributions, and statutory benefits of the Software Engineer.
- Insurance: The supplier shall maintain professional liability insurance with a minimum coverage of EUR 1,000,000 per claim for the duration of this Purchase Order. A certificate of insurance shall be provided to the buyer prior to the commencement of services in France Lyon.

This Purchase Order becomes effective upon the last signature and remains valid for the duration specified herein.
