This Purchase Order is issued by Provence Digital Solutions S.A.S. (hereinafter referred to as the "Buyer") to MedTech Engineering Partners Ltd. (hereinafter referred to as the "Supplier") for the engagement of a qualified Software Engineer to perform professional software development and systems integration services. The entire scope of work under this Purchase Order shall be executed at the Buyer's primary operational facility located in France Marseille, specifically at the address listed above.

The Buyer hereby requests and the Supplier agrees to provide the services of a senior Software Engineer for a period of twelve (12) consecutive months, commencing on 1 September 2025 and concluding on 31 August 2026. The Software Engineer shall be responsible for the following duties and deliverables:

• Design, development, testing, and deployment of enterprise-grade software applications for the Buyer's client-facing digital platform.
• Architectural planning and code review for all modules developed under this Purchase Order.
• Integration of third-party APIs and microservices within the existing infrastructure hosted at the France Marseille data center.
• Performance optimization, security auditing, and compliance verification in accordance with French and European data protection regulations (GDPR).
• Maintenance of comprehensive technical documentation, including system design documents, API specifications, and user manuals.
• Weekly progress reporting to the Buyer's Project Management Office located in France Marseille.

The Software Engineer assigned to this Purchase Order must possess a minimum of eight (8) years of professional experience in full-stack software development, with demonstrated expertise in Java, Python, cloud-native architectures (AWS/Azure), and containerized deployment environments. The candidate must be legally authorized to work in France and must be physically present at the France Marseille office for a minimum of four (4) days per week.

Payment shall be made on a monthly basis within thirty (30) calendar days of receipt of a valid invoice from the Supplier. All payments under this Purchase Order shall be processed via bank transfer to the Supplier's designated account in euros (EUR). The Buyer reserves the right to withhold payment for any deliverable that does not meet the acceptance criteria defined in Annex A of this Purchase Order.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from the interpretation or execution of this Purchase Order shall be submitted to the exclusive jurisdiction of the Commercial Court of Marseille, France Marseille.
2. Confidentiality: The Software Engineer shall be bound by a strict Non-Disclosure Agreement (NDA) covering all proprietary information, source code, business strategies, and client data encountered during the performance of services in France Marseille. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
3. Intellectual Property: All work product, code, documentation, and deliverables created by the Software Engineer in the course of fulfilling this Purchase Order shall be the exclusive property of the Buyer. The Supplier warrants that no third-party intellectual property rights shall be infringed.
4. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notification. Termination shall not affect any accrued rights or obligations.
5. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in France Marseille.
6. Compliance: The Supplier and the assigned Software Engineer shall comply with all applicable French labor laws, social security regulations, and professional standards applicable to software engineering practices in the Provence-Alpes-Côte d'Azur region.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. The Buyer authorizes the Supplier to commence the recruitment and onboarding process for the Software Engineer effective immediately upon execution of this document. The Supplier confirms its capacity to deliver the specified services at the designated location in France Marseille within the agreed timeline.
