(hereinafter referred to as the "Supplier") for the recruitment, placement, and ongoing professional management of a Software Engineer to be deployed and performing duties within the city of France Paris, specifically at the Buyer's headquarters located at 42 Avenue des Champs-Élysées, 75008 Paris, France.

The Software Engineer engaged under this Purchase Order shall be responsible for the design, development, testing, and maintenance of enterprise-grade software applications. The role requires a minimum of five (5) years of professional experience in full-stack software development, proficiency in Java, Python, and cloud-based architectures (AWS, Azure, or GCP), and demonstrated expertise in agile development methodologies. The Software Engineer shall report directly to the Director of Engineering at the Buyer's Paris office and shall work a standard French working week of thirty-five (35) hours per week, in compliance with the French Labour Code (Code du travail).

4.1 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from the interpretation or execution of this Purchase Order shall be submitted to the exclusive jurisdiction of the Commercial Court of Paris (Tribunal de Commerce de Paris), France.

4.2 Payment Terms: Payment for services rendered under this Purchase Order shall be made via bank transfer to the Supplier's designated account within thirty (30) calendar days of receipt of a valid invoice. The initial recruitment and placement fees (Items 01 and 02) shall be invoiced upon completion of the respective milestones. Monthly fees (Items 03, 04, and 05) shall be invoiced on the first business day of each calendar month for the preceding month's services.

4.3 Location of Performance: All services under this Purchase Order shall be performed at the Buyer's premises in France Paris, or at such other location within the Paris metropolitan area as mutually agreed upon in writing. The Software Engineer shall be physically present at the designated work location in Paris for a minimum of four (4) days per week, with the remaining day available for remote work as per the Buyer's internal policies.

4.4 Confidentiality: The Supplier acknowledges that in the course of fulfilling this Purchase Order, it may have access to proprietary information, source code, architectural designs, and business strategies of the Buyer. All such information shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent from the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.

4.5 Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice to the other party. In the event of material breach by the Supplier, the Buyer may terminate this Purchase Order with immediate effect upon written notice. Upon termination, the Supplier shall ensure a smooth transition of the Software Engineer's responsibilities and shall return all Buyer property and confidential documents within ten (10) business days.

4.6 Insurance and Liability: The Supplier shall maintain, at its own expense, comprehensive professional liability insurance with a minimum coverage of EUR 1,000,000 per occurrence, valid throughout the duration of this Purchase Order. The Supplier shall be liable for any damages arising from the negligence or professional misconduct of the Software Engineer while performing duties under this agreement.

4.7 Force Majeure: Neither party shall be liable for failure to perform its obligations under this Purchase Order if such failure is caused by events beyond its reasonable control, including but not limited to natural disasters, acts of war, government sanctions, or public health emergencies affecting the city of Paris or the broader France region.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of a Software Engineer in France Paris. This document constitutes a binding agreement between the parties as of the date of the last signature below.
