1. Scope of Work: This Purchase Order authorizes CodeBridge Consulting AG to supply qualified Software Engineer personnel to AlpenTech Solutions GmbH for the duration of twelve (12) months commencing 01 September 2025. All Software Engineer resources shall perform their duties primarily at the buyer’s premises located in Munich, Germany, with the hybrid arrangements specified in the line items above.

2. Compliance with German Law: All personnel provided under this Purchase Order shall be subject to German labor law, including the Works Constitution Act (Betriebsverfassungsgesetz), the Federal Data Protection Act (BDSG), and the General Data Protection Regulation (GDPR) as implemented in Germany. The supplier guarantees that all Software Engineer candidates hold valid work permits or EU work authorization for employment in Germany Munich and the broader Bavarian region.

3. Payment Schedule: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) calendar days of the invoice date via SEPA bank transfer to the account designated by the supplier. Late payments shall accrue interest at the statutory rate under Section 288 of the German Civil Code (BGB).

4. Performance Standards: Each Software Engineer shall adhere to the technical standards, coding conventions, and quality assurance processes defined in the attached Statement of Work (SOW-2025-MUC-04872). Monthly performance reviews shall be conducted jointly by the buyer’s technical lead and the supplier’s account manager.

5. Substitution and Replacement: The supplier may substitute a Software Engineer only with the prior written consent of the buyer. Any replacement must possess equivalent or superior qualifications and shall not result in a reduction of service quality. The transition period for any replacement shall not exceed five (5) business days.

6. Intellectual Property: All work product, source code, documentation, and deliverables created by the Software Engineer team in the course of fulfilling this Purchase Order shall be the exclusive property of AlpenTech Solutions GmbH. The supplier warrants that no third-party intellectual property rights shall be infringed.

7. Confidentiality and Data Protection: All Software Engineer personnel shall sign individual Non-Disclosure Agreements (NDAs) prior to commencing work. Access to company data systems in Munich, Germany shall be governed by the buyer’s information security policy and the EU Data Protection Directive.

8. Termination: Either party may terminate this Purchase Order with sixty (60) days’ written notice. In the event of material breach, termination may be effected with fourteen (14) days’ notice. Upon termination, the supplier shall ensure an orderly handover of all ongoing tasks and documentation.

9. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in Munich, Germany.
