This Purchase Order is issued by Apex Global Technologies Pvt. Ltd. to formally engage the services of a qualified Software Engineer through TechTalent Solutions India LLP. The Software Engineer shall be deployed at the buyer's primary development centre located in India Mumbai, specifically at the Bandra Kurla Complex (BKC) office campus. The engagement is intended to support the ongoing enterprise application development, system integration, and cloud infrastructure modernisation projects currently underway at the India Mumbai facility.

The Software Engineer engaged under this Purchase Order shall perform the following duties and responsibilities at the India Mumbai office:

• Design, develop, test, and deploy scalable software solutions using Java, Python, and microservices architecture within the India Mumbai development team.
• Collaborate with cross-functional teams based in India Mumbai to deliver sprint-based software releases aligned with the project roadmap.
• Perform code reviews, unit testing, and quality assurance activities to ensure adherence to the company's engineering standards.
• Provide technical support and troubleshooting for production systems hosted on AWS Mumbai (ap-south-1) region.
• Document technical specifications, API contracts, and system architecture diagrams for internal knowledge management.
• Participate in daily stand-up meetings, sprint planning, and retrospectives conducted at the India Mumbai office between 09:30 AM and 06:30 PM IST.
• Mentor junior developers and contribute to the internal engineering training programme at the India Mumbai centre.

The Software Engineer nominated by the vendor to fulfil this Purchase Order must meet the following minimum qualifications:

• Bachelor's or Master's degree in Computer Science, Information Technology, or a related engineering discipline from a recognised Indian or international university.
• A minimum of five (5) years of progressive experience in full-stack software development, with at least two (2) years in a senior or lead Software Engineer capacity.
• Demonstrated proficiency in Java (Spring Boot), Python, SQL, and cloud-native development on AWS or Azure platforms.
• Experience working in an Agile/Scrum environment within a large-scale enterprise setting, preferably in the India Mumbai technology ecosystem.
• Strong communication skills in English and Hindi, suitable for a professional office environment in India Mumbai.

Payment shall be made on a monthly basis within thirty (30) days of receipt of a valid tax invoice from the vendor. All payments under this Purchase Order shall be processed via NEFT/RTGS to the vendor's designated bank account in India Mumbai. The vendor is responsible for all statutory deductions including Professional Tax applicable in the state of Maharashtra, India.

• This Purchase Order constitutes a binding agreement between the parties upon countersignature. All terms are governed by the laws of the Republic of India, with jurisdiction vested in the courts of India Mumbai.
• The Software Engineer shall remain an employee of the vendor (TechTalent Solutions India LLP) and shall not be deemed an employee or agent of Apex Global Technologies Pvt. Ltd. for any legal or tax purpose.
• The Software Engineer shall comply with all internal policies, code of conduct, and security protocols of the India Mumbai office, including data protection regulations under the Indian Digital Personal Data Protection Act, 2023.
• The vendor shall maintain comprehensive professional indemnity and public liability insurance coverage for the duration of this Purchase Order.
• Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the vendor shall ensure an orderly transition of the Software Engineer's responsibilities to a successor or to the buyer's internal team at the India Mumbai office.
• All intellectual property, code, documentation, and work product created by the Software Engineer during the term of this engagement shall be the exclusive property of Apex Global Technologies Pvt. Ltd.
• The vendor shall replace the Software Engineer within fifteen (15) business days at no additional cost if the buyer determines, in good faith, that the performance does not meet the agreed-upon standards.

This Purchase Order is valid for acceptance within ten (10) business days from the date of issue. The vendor's written acceptance shall confirm the availability and suitability of the nominated Software Engineer for deployment at the India Mumbai facility.
