This Purchase Order is issued by TechBridge Solutions Iraq Ltd. to Baghdad Digital Talent Partners LLC for the procurement and engagement of a qualified Software Engineer to be stationed and performing professional duties within the city of Baghdad, Iraq. The Software Engineer shall be responsible for the design, development, testing, and maintenance of enterprise-grade software applications as outlined in the attached Statement of Work (SOW-2025-112). The engagement is specifically tailored to the operational requirements of the Iraq Baghdad office and shall comply with all applicable Iraqi labor regulations, data protection standards, and corporate governance policies in effect within the Republic of Iraq.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Republic of Iraq. Any disputes arising from this Purchase Order related to the Software Engineer engagement in Iraq Baghdad shall be resolved through arbitration in Baghdad under the rules of the Iraqi Arbitration Center.
2. Delivery / Commencement: The Software Engineer shall commence active duties no later than 20 July 2025 at the designated Iraq Baghdad office located in Al-Mansour Business District. The supplier shall ensure all work permits, residency documentation, and Iraqi labor registrations are completed prior to the commencement date.
3. Payment Schedule: Payment shall be made in four (4) equal quarterly installments of USD 15,375.00 each, due within thirty (30) calendar days of the end of each quarter. The first installment is due upon successful onboarding and first performance review of the Software Engineer in Iraq Baghdad.
4. Quality & Performance Standards: The Software Engineer shall meet the technical competencies and deliverable milestones specified in SOW-2025-112. Failure to meet agreed-upon performance benchmarks for two consecutive quarters shall entitle the Buyer to terminate this Purchase Order with thirty (30) days written notice.
5. Confidentiality & Data Protection: The Software Engineer shall adhere to all data protection obligations under Iraqi law and the Buyer's internal information security policies. All source code, architectural documentation, and proprietary data developed during the engagement in Iraq Baghdad shall remain the exclusive intellectual property of TechBridge Solutions Iraq Ltd.
6. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to civil unrest, government sanctions, natural disasters, or pandemics affecting the Iraq Baghdad region.
7. Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. Upon termination, the supplier shall ensure an orderly transition of the Software Engineer's responsibilities and handover of all project deliverables within fourteen (14) days.
8. Tax & Duties: All applicable Iraqi value-added tax (VAT) and withholding taxes shall be borne as per the tax code of Iraq. The supplier shall provide valid tax invoices for each payment tranche.
9. Insurance: The supplier shall maintain comprehensive professional liability insurance and workers' compensation coverage for the Software Engineer throughout the duration of this Purchase Order, with minimum coverage of USD 500,000, valid within Iraq Baghdad and the surrounding governorates.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of the Software Engineer services in Iraq Baghdad. This document constitutes a binding agreement effective from the date of the last signature.
