This Purchase Order is issued by Levant Digital Solutions Ltd. to Negev Tech Talent Partners LLC for the procurement and engagement of a senior Software Engineer to provide full-time technical services at our primary development facility located in Israel Jerusalem. The Software Engineer shall be responsible for the design, development, testing, and maintenance of enterprise-grade software applications, including but not limited to cloud infrastructure solutions, API integrations, and database architecture. All work related to this Purchase Order shall be performed on-site at the Israel Jerusalem office unless otherwise agreed in writing by both parties.

The Software Engineer identified under this Purchase Order shall commence duties no later than 1 August 2025 at the Levant Digital Solutions facility in Israel Jerusalem. The supplier shall ensure that all necessary work permits, visa documentation (if applicable), and local registrations required for employment in Israel Jerusalem are completed prior to the commencement date. Failure to meet the commencement date shall entitle the buyer to a penalty of 0.5% of the total Purchase Order value per day of delay, up to a maximum of 10%.

• Payment shall be made in monthly installments of ILS 141,453.33 (inclusive of VAT) over a period of 12 months, commencing 1 September 2025.
• All payments shall be transferred via bank wire to the supplier's designated account in Israel Jerusalem. Bank details are attached as Appendix A to this Purchase Order.
• Invoices must be submitted by the 5th business day of each month for the preceding month's services rendered by the Software Engineer.
• Payment terms: Net 30 days from receipt of a valid invoice. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Israeli commercial law.
• The buyer reserves the right to withhold payment for any month in which the Software Engineer fails to meet the agreed-upon performance KPIs outlined in the attached Service Level Agreement.

• This Purchase Order is governed by and shall be construed in accordance with the laws of the State of Israel, with jurisdiction vested in the competent courts of Israel Jerusalem.
• The Software Engineer engaged under this Purchase Order shall be bound by a non-disclosure agreement (NDA) and intellectual property assignment agreement covering all work product created during the engagement period in Israel Jerusalem.
• The supplier warrants that the Software Engineer possesses the qualifications, certifications, and professional experience as described in the candidate profile attached to this Purchase Order. Any material misrepresentation shall constitute grounds for immediate termination.
• Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the buyer shall be liable only for services rendered up to the effective date of termination.
• All disputes arising from this Purchase Order shall first be subject to mediation in Israel Jerusalem. If mediation fails within 30 days, the matter shall be referred to arbitration under the rules of the Israel Arbitration Association.
• The supplier shall maintain full compliance with all applicable Israeli labor laws, social security contributions (Bituach Leumi), and tax withholding obligations for the Software Engineer throughout the engagement period.
• This Purchase Order shall remain in full force and effect for a period of 12 months from the commencement date, unless renewed in writing by both parties no later than 30 days prior to expiration.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Software Engineer in Israel Jerusalem. This document constitutes a binding commercial agreement between the parties upon execution.
