This Purchase Order is issued by MedTech Solutions S.r.l. to formally request and authorize the engagement of a qualified Software Engineer to provide specialized technical services at the company's operational headquarters located in Italy Naples. The Software Engineer shall be responsible for the design, development, testing, and maintenance of proprietary healthcare software systems that support patient data management, clinical workflow automation, and regulatory compliance reporting under Italian and European data protection standards.

The Software Engineer engaged under this Purchase Order must possess a minimum of seven (7) years of professional experience in full-stack software development, with demonstrated expertise in cloud-native architectures, microservices design, and secure coding practices. The candidate must be fluent in both Italian and English, as all technical documentation, code reviews, and stakeholder communications within the Italy Naples office will be conducted in both languages.

Total Purchase Order Value: EUR 216,900.00 (Two Hundred Sixteen Thousand Nine Hundred Euros), exclusive of applicable Italian Value Added Tax (IVA) at the standard rate of 22%.

All services described in this Purchase Order shall be performed at the Buyer's premises in Italy Naples, specifically at the address listed in Section 1. The Software Engineer is expected to be present on-site a minimum of four (4) days per week, with the remaining day allocated to remote work as mutually agreed upon. The Italy Naples office operates on standard Italian business hours (Monday through Friday, 09:00–18:00 CET), and the Software Engineer shall adhere to these schedules unless otherwise directed by the project lead.

The Supplier shall ensure that the Software Engineer complies with all applicable Italian labor regulations, workplace safety directives, and the Buyer's internal code of conduct. Any additional travel within the Italy Naples metropolitan area required for client meetings or vendor coordination shall be pre-approved in writing by the Buyer's procurement department.

Payment for services rendered under this Purchase Order shall be made on a monthly basis. The Supplier shall submit a detailed invoice by the fifth (5th) business day of each month, referencing this Purchase Order number (PO-IT-NAP-2025-00472) and itemizing the Software Engineer hours and deliverables completed during the billing period. Payment shall be processed via bank transfer to the Supplier's designated Italian bank account within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the rate prescribed by Italian Legislative Decree No. 231/2002.

All code, documentation, architectural designs, and proprietary knowledge produced by the Software Engineer in the course of fulfilling this Purchase Order shall be the exclusive intellectual property of MedTech Solutions S.r.l. The Software Engineer and the Supplier agree to maintain strict confidentiality regarding all trade secrets, patient data, and business strategies encountered while working at the Italy Naples facility. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.

Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of early termination, the Buyer shall compensate the Supplier for all services rendered up to the effective date of termination, including a reasonable wind-down period for the Software Engineer to complete outstanding tasks and transfer knowledge to the Buyer's internal team in Italy Naples.

This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this Purchase Order shall be resolved through binding arbitration seated in Naples, Italy, in accordance with the rules of the Italian Arbitration Association (Camera Arbitrale di Napoli). The language of arbitration shall be Italian.
