This Purchase Order is issued by Kansai Digital Solutions K.K. to Osaka Tech Talent Partners LLC for the provision of a qualified Software Engineer to be assigned to the Kansai Digital Solutions development team located in Japan Osaka. The Software Engineer shall be responsible for the design, development, testing, and maintenance of enterprise-grade software applications supporting the company’s logistics and supply-chain management platforms. The engagement is structured as a full-time professional services contract, and the Software Engineer will report directly to the Senior Technical Lead at the Japan Osaka headquarters.

The Software Engineer engaged under this Purchase Order shall perform the following duties within the Japan Osaka office and, where required, at client sites throughout the Osaka metropolitan area:

• Architect, develop, and deploy microservices using Java, Python, and Go within the company’s cloud infrastructure hosted in the Osaka region.
• Conduct code reviews, write unit and integration tests, and ensure a minimum of 85% code coverage across all assigned modules.
• Collaborate with the Japan Osaka product management team to translate business requirements into technical specifications.
• Participate in agile sprint ceremonies (stand-ups, sprint planning, retrospectives) held at the Umeda office, Kita-ku, Osaka.
• Provide on-call support during the first three months of the engagement to ensure a smooth transition of the Software Engineer into the existing team workflow.
• Maintain and update technical documentation, API contracts, and deployment runbooks stored in the company’s internal knowledge base.

Payment for this Purchase Order shall be made in monthly installments. The vendor, Osaka Tech Talent Partners LLC, shall submit an invoice by the 5th business day of each month for services rendered in the preceding month. Payment will be processed via bank transfer to the account designated by the vendor within 30 days of invoice receipt. Late payments shall accrue interest at a rate of 1.5% per month in accordance with the Japanese Late Payment of Compensation to Small and Medium-Sized Businesses Act. The total Purchase Order value of 25,773,000 JPY is subject to adjustment only through a written amendment signed by both parties.

• Confidentiality: The Software Engineer shall sign a non-disclosure agreement (NDA) prior to commencing work in Japan Osaka. All proprietary code, business data, and client information remain the exclusive property of Kansai Digital Solutions K.K.
• Intellectual Property: All work product, including source code, documentation, and design artifacts created by the Software Engineer during the term of this Purchase Order, shall be the sole intellectual property of Kansai Digital Solutions K.K.
• Compliance: The Software Engineer shall comply with all applicable Japanese labor laws, the Act on the Protection of Personal Information (APPI), and the internal IT security policies of Kansai Digital Solutions K.K. as enforced at the Japan Osaka facility.
• Substitution: Any replacement of the assigned Software Engineer must be approved in writing by the Senior Technical Lead at least 14 business days in advance. The replacement candidate must meet or exceed the qualifications specified in Appendix A of this Purchase Order.
• Termination: Either party may terminate this Purchase Order with 60 days’ written notice. In the event of termination, the vendor shall be compensated for services rendered up to the effective date of termination.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes shall be resolved through the Osaka District Court.

This Purchase Order becomes effective upon signature by both parties. The vendor acknowledges receipt of this Purchase Order and confirms its ability to deliver the Software Engineer services as described herein, commencing on 1 July 2025 at the Japan Osaka headquarters.

This Purchase Order (PO-2025-OSK-0472) is a binding commercial document. It is issued for the procurement of Software Engineer professional services to be performed in Japan Osaka.
