This Purchase Order is issued in accordance with the internal procurement policies of the Buyer and the applicable commercial legislation of the Republic of Kazakhstan. All terms referenced herein govern the engagement of a qualified Software Engineer to be deployed at the Buyer's Kazakhstan Almaty headquarters and associated development sites.

The Buyer hereby requests the Supplier to source, vet, and deliver a full-time Software Engineer possessing a minimum of five (5) years of professional experience in full-stack application development. The Software Engineer shall be responsible for the design, development, testing, and maintenance of enterprise-grade software systems operating within the Buyer's Kazakhstan Almaty technology infrastructure.

The Software Engineer must demonstrate proficiency in Java, Python, and modern cloud-native architectures, with demonstrated experience in microservices design, CI/CD pipeline management, and agile development methodologies. The role is to be performed exclusively at the Buyer's premises in Kazakhstan Almaty, with a standard working schedule of Monday through Friday, 09:00 to 18:00 local time (UTC+5).

Payment against this Purchase Order shall be made in United States Dollars (USD) via international wire transfer to the Supplier's designated bank account in Kazakhstan Almaty. The payment schedule is structured as follows:

30% advance payment (USD 15,435.00) due within ten (10) business days of the Buyer's written acceptance of this Purchase Order.

40% milestone payment (USD 20,580.00) due upon confirmed onboarding and first successful sprint delivery by the Software Engineer at the Kazakhstan Almaty site.

30% final payment (USD 15,435.00) due upon completion of the first full quarter of service and satisfactory performance review of the Software Engineer.

All payments are subject to the Supplier providing valid VAT invoices compliant with the tax regulations of the Republic of Kazakhstan. Late payments shall incur a penalty of 0.05% per calendar day as stipulated in the governing commercial code.

5.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon countersignature. The Supplier warrants that the Software Engineer placed under this Purchase Order shall meet all stated qualifications and shall be legally authorized to perform professional services in Kazakhstan Almaty.

5.2 The Supplier shall ensure full compliance with the Labor Code of the Republic of Kazakhstan, including but not limited to social insurance contributions, mandatory pension fund deposits, and occupational health and safety regulations applicable to the Kazakhstan Almaty workplace.

5.3 The Software Engineer shall be bound by a non-disclosure agreement (NDA) and intellectual property assignment clause protecting all proprietary code, system architectures, and business data developed or accessed during the engagement in Kazakhstan Almaty.

5.4 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall facilitate a smooth transition and knowledge transfer of the Software Engineer's ongoing work to the Buyer's internal team in Kazakhstan Almaty.

5.5 All disputes arising from this Purchase Order shall be resolved through arbitration under the rules of the International Arbitration Center of the Astana International Financial Centre, Kazakhstan Almaty jurisdiction being the primary venue for any preliminary negotiations.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Software Engineer services in Kazakhstan Almaty. This document, together with any attached annexes, forms the complete and exclusive agreement between the parties regarding the subject matter herein.
