3.1 This Purchase Order constitutes a binding agreement between TechNova Solutions Sdn. Bhd. and Apex Digital Talent Agency Sdn. Bhd. for the provision of a Software Engineer in Malaysia Kuala Lumpur. Both parties acknowledge that this Purchase Order supersedes all prior negotiations, quotations, and correspondence regarding this Software Engineer engagement.
3.2 The Software Engineer shall report directly to the Head of Engineering at the Malaysia Kuala Lumpur office and shall adhere to all company policies, code of conduct, and intellectual property agreements as outlined in the attached employment annexure.
3.3 The Software Engineer shall be required to work a standard 40-hour week (Monday to Friday, 9:00 AM to 6:00 PM) at the designated Malaysia Kuala Lumpur premises. Remote work arrangements may be discussed on a case-by-case basis with prior written approval from the project manager.
3.4 All deliverables, source code, documentation, and intellectual property created by the Software Engineer during the term of this Purchase Order shall be the sole property of TechNova Solutions Sdn. Bhd. The Software Engineer shall sign a non-disclosure agreement (NDA) and intellectual property assignment form prior to commencing work in Malaysia Kuala Lumpur.
3.5 Payment shall be processed via bank transfer to the account designated by Apex Digital Talent Agency Sdn. Bhd. Invoices shall be submitted monthly by the 5th business day. Late payments beyond the Net 30-day window shall incur a penalty of 2% per month as per Malaysian commercial practice.
3.6 Either party may terminate this Purchase Order with 30 days' written notice. In the event of early termination, the Software Engineer's remaining monthly fees shall be settled pro-rata, and all company assets, credentials, and documentation shall be returned to the Malaysia Kuala Lumpur office within 5 business days.
3.7 This Purchase Order shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising from this Purchase Order regarding the Software Engineer engagement in Malaysia Kuala Lumpur shall be resolved through mediation, and failing that, through the courts of competent jurisdiction in Kuala Lumpur, Federal Territory of Kuala Lumpur, Malaysia.
3.8 Apex Digital Talent Agency Sdn. Bhd. warrants that the Software Engineer engaged under this Purchase Order possesses the qualifications, experience, and technical competencies as described in the attached candidate profile. The Software Engineer shall hold a minimum of 5 years of professional software development experience and a relevant degree in Computer Science or equivalent.
By signing below, both parties confirm their acceptance of this Purchase Order for the Software Engineer services to be rendered in Malaysia Kuala Lumpur. This Purchase Order is effective upon execution by both authorized representatives.
