This Purchase Order authorizes the procurement of five (5) Software Engineer positions to be fulfilled by qualified professionals provided by TalentBridge Consulting Group. All Software Engineer candidates must be legally authorized to work in Mexico and must be physically based in or around Mexico City, Mexico, to ensure compliance with local labor regulations and operational requirements. The Software Engineer roles will support the development, deployment, and maintenance of enterprise software applications for GlobalTech Solutions de México, S.A. de C.V.

Each Software Engineer will be expected to work a standard schedule of 40 hours per week, Monday through Friday, in accordance with the Federal Labor Law (Ley Federal del Trabajo) applicable in Mexico. The primary work location for all on-site Software Engineer positions will be the GlobalTech Solutions office at Av. Paseo de la Reforma 505, Mexico City. The hybrid and remote Software Engineer positions must maintain their primary residence within the Mexico City metropolitan area to ensure availability for in-person meetings and team collaboration as required.

1. Compliance with Mexican Law: This Purchase Order is governed by the commercial and labor laws of the United Mexican States. All Software Engineer personnel must comply with the regulations set forth by the Secretaría del Trabajo y Previsión Social (STPS) in Mexico City and the broader Mexico jurisdiction.
2. Confidentiality and IP: All Software Engineer personnel shall sign a Non-Disclosure Agreement (NDA) and Intellectual Property Assignment Agreement prior to commencing work. All code, documentation, and deliverables produced by the Software Engineer team shall be the exclusive property of GlobalTech Solutions de México, S.A. de C.V.
3. Performance Standards: Each Software Engineer will be subject to quarterly performance reviews. Failure to meet agreed-upon KPIs for two consecutive quarters may result in the replacement of the Software Engineer at no additional cost to the purchasing entity.
4. Substitution Clause: TalentBridge Consulting Group must provide a minimum of 15 business days' written notice before requesting the substitution of any Software Engineer. The replacement Software Engineer must meet or exceed the qualifications specified in this Purchase Order.
5. Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, all Software Engineer personnel will be transitioned off the project in an orderly manner, and final payment will be calculated on a pro-rata basis.
6. Insurance and Liability: The supplier shall maintain professional liability insurance and workers' compensation coverage for all Software Engineer personnel in accordance with Mexican statutory requirements. The supplier assumes full responsibility for any claims arising from the employment relationship with the Software Engineer staff.
7. Tax Obligations: All payments under this Purchase Order are subject to applicable Mexican tax regulations, including IVA (16%), ISR withholding, and any applicable local taxes in Mexico City. The supplier is responsible for issuing valid CFDI (Comprobante Fiscal Digital por Internet) invoices for each payment period.
8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Mexico City, Mexico, in accordance with the rules of the Centro de Arbitraje y Conciliación de la CDMX. If mediation fails, disputes shall be submitted to the competent commercial courts in Mexico City.
9. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting Mexico City or Mexico as a whole.
10. Anti-Corruption: Both parties certify compliance with all applicable anti-corruption and anti-money laundering laws in Mexico. Any breach of this clause constitutes immediate grounds for termination of this Purchase Order.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Software Engineer professional services in Mexico, Mexico City.
