This Purchase Order is issued by Himalayan Digital Solutions Pvt. Ltd., a technology firm headquartered in Nepal Kathmandu, for the procurement of professional software engineering services. The purpose of this Purchase Order is to formally engage a qualified Software Engineer through TechTalent Nepal Consulting LLP to support the development, maintenance, and deployment of enterprise software solutions at our Nepal Kathmandu office. The Software Engineer shall be responsible for designing, coding, testing, and maintaining software applications that align with the strategic technology roadmap of the organization.
The Software Engineer engaged under this Purchase Order shall perform the following duties and responsibilities at the Nepal Kathmandu office:
a) Design, develop, and maintain web-based and cloud-native applications using modern programming languages including Java, Python, and TypeScript.
b) Write clean, efficient, and well-documented code following industry best practices and the coding standards established by Himalayan Digital Solutions.
c) Conduct thorough unit testing, integration testing, and quality assurance of all software modules before deployment.
d) Collaborate with cross-functional teams including project managers, UI/UX designers, and quality assurance specialists based in Nepal Kathmandu.
e) Participate in agile development sprints, daily stand-up meetings, and sprint review sessions held at the Nepal Kathmandu office.
f) Provide technical support and troubleshooting for existing software systems and legacy applications.
g) Prepare and submit weekly progress reports and monthly performance summaries to the designated project manager.
h) Ensure compliance with all data protection regulations applicable in Nepal, including the Individual Privacy Act, 2075 (2018).

4.1 This Purchase Order constitutes a binding agreement between the Buyer and the Seller for the procurement of Software Engineer services as described herein. All terms are governed by the laws of the Kingdom of Nepal.
4.2 The Software Engineer shall report to the Nepal Kathmandu office located at New Baneshwor, Kathmandu, on a full-time basis (Monday to Friday, 9:00 AM to 6:00 PM Nepal Standard Time).
4.3 Payment shall be processed via bank transfer to the account designated by TechTalent Nepal Consulting LLP. Invoices must be submitted by the 5th of each month for the preceding month's services.
4.4 The Software Engineer shall be bound by a Non-Disclosure Agreement (NDA) and Intellectual Property Assignment Agreement, ensuring that all code, documentation, and work products created during the engagement remain the exclusive property of Himalayan Digital Solutions Pvt. Ltd.
4.5 Either party may terminate this Purchase Order with a written notice of 30 days. In the event of early termination, pro-rata payment shall be made for services rendered up to the termination date.
4.6 The Seller guarantees that the Software Engineer possesses a minimum of five (5) years of professional experience in software development and holds a Bachelor's degree in Computer Science, Information Technology, or a related field from a recognized institution in Nepal or abroad.
4.7 All work performed under this Purchase Order shall be conducted in compliance with the Labour Act, 2074 (2017) of Nepal and all applicable regulations of the Department of Industry, Kathmandu.
4.8 Disputes arising from this Purchase Order shall be resolved through arbitration in Nepal Kathmandu in accordance with the Arbitration Act, 2055 (1999) of Nepal.
By signing below, both parties acknowledge and accept all terms, conditions, and obligations outlined in this Purchase Order for the engagement of a Software Engineer at the Nepal Kathmandu office. This document is valid only upon the authorized signatures of both the Buyer and the Seller.
