This Purchase Order is issued to procure the services of a qualified Software Engineer to be engaged on a full-time, permanent basis at the New Zealand Auckland office of Meridian Digital Solutions Ltd. The Software Engineer shall be responsible for the design, development, testing, and maintenance of enterprise-grade software applications, cloud infrastructure, and API integrations. The role requires a minimum of five (5) years of professional experience in full-stack software development, proficiency in languages including Python, Java, and TypeScript, and demonstrated expertise in Agile/Scrum methodologies. The Software Engineer will report directly to the Chief Technology Officer and will work within the Auckland-based engineering team of fourteen (14) professionals.
The engagement is specifically tied to the New Zealand Auckland location. The Software Engineer is expected to be physically present at the Auckland CBD office a minimum of three (3) days per week, with the remaining days allocated to approved remote work. All onboarding, training, and performance reviews shall be conducted in accordance with New Zealand employment legislation, including the Employment Relations Act 2000 and the Holidays Act 2003.

All payments under this Purchase Order shall be made in New Zealand Dollars (NZD) via electronic funds transfer (EFT) to the supplier's nominated bank account in New Zealand. The recruitment and placement fee (Item 5) is due within fourteen (14) calendar days of the Software Engineer's successful commencement date. The onboarding and equipment costs (Item 6) are due within seven (7) calendar days of the Purchase Order acceptance. Salary and related employment costs (Items 1–4) shall be disbursed on a fortnightly basis in arrears, consistent with standard New Zealand payroll practices. The professional development budget (Item 7) shall be released in quarterly tranches upon submission of approved training plans.
- This Purchase Order is subject to the standard terms and conditions of Meridian Digital Solutions Ltd as set out in Schedule A, which forms an integral part of this document.
- The Software Engineer shall be engaged in strict compliance with all applicable New Zealand employment laws, including but not limited to the Employment Relations Act 2000, the Health and Safety at Work Act 2015, and the Privacy Act 2020.
- The supplier warrants that the Software Engineer shall not be subject to any restrictive covenants, non-compete agreements, or intellectual property encumbrances that would conflict with the duties outlined in this Purchase Order.
- All intellectual property, code, documentation, and work product created by the Software Engineer during the course of employment shall be the sole and exclusive property of Meridian Digital Solutions Ltd, as per New Zealand intellectual property law.
- The supplier shall maintain adequate professional indemnity and public liability insurance, with minimum cover of NZD 10,000,000, for the duration of this Purchase Order.
- Any disputes arising from this Purchase Order shall be resolved through mediation in New Zealand Auckland before either party may initiate proceedings in the District Court of Auckland.
- This Purchase Order may be amended only by written agreement signed by both parties. No verbal modifications shall be binding.
- The supplier shall provide a replacement Software Engineer of equivalent or superior qualifications within thirty (30) calendar days should the original candidate resign or be terminated for cause within the first six (6) months, at no additional recruitment fee.
- All personal data processed under this Purchase Order shall comply with the Privacy Act 2020 (New Zealand) and applicable data protection standards.
