This Purchase Order is issued by Meridian Digital Solutions, Inc. to procure the professional services of a qualified Software Engineer to be deployed at the company's primary office located in Philippines Manila. The Software Engineer shall be responsible for full-stack application development, system architecture design, code review, and ongoing maintenance of the company's proprietary enterprise platforms. The engagement is structured as a twelve (12) month contract with the option to renew for an additional six (6) months upon mutual agreement.

1. This Purchase Order is governed by the laws of the Republic of the Philippines. Any disputes arising from this Purchase Order shall be resolved through arbitration in Philippines Manila in accordance with the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI).
2. The Software Engineer engaged under this Purchase Order shall comply with all applicable labor laws, data privacy regulations (including the Philippine Data Privacy Act of 2012, Republic Act No. 10173), and company policies while performing duties at the Philippines Manila office.
3. Payment shall be made via bank transfer to the account designated by Apex Talent Partners Philippines, Inc. Invoices must be submitted by the 5th of each month for services rendered in the preceding month. Late payments shall accrue interest at the rate of 1.5% per month.
4. The Software Engineer shall be required to sign a Non-Disclosure Agreement (NDA) and Intellectual Property Assignment Agreement prior to commencing work. All code, documentation, and deliverables produced during the engagement shall be the exclusive property of Meridian Digital Solutions, Inc.
5. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Software Engineer shall complete all in-progress tasks and hand over all project materials to the designated team lead at the Philippines Manila office.
6. Apex Talent Partners Philippines, Inc. shall ensure that the Software Engineer maintains all required professional certifications and licenses throughout the duration of this Purchase Order. Failure to maintain such credentials shall constitute a material breach.
7. All work performed by the Software Engineer shall be conducted at the Meridian Digital Solutions office in Philippines Manila, unless otherwise authorized in writing by the Director of Engineering. Remote work arrangements, if any, shall not exceed two (2) days per week.
8. This Purchase Order does not constitute an employment relationship between Meridian Digital Solutions, Inc. and the Software Engineer. The Software Engineer remains under the employment or contractual arrangement of Apex Talent Partners Philippines, Inc.

The Software Engineer shall report for duty at the Meridian Digital Solutions office located at 18th Floor, BDO Tower, 28th Street, Ortigas Center, Philippines Manila, 1600, no later than 8:00 AM on July 01, 2025. The onboarding package described in Line Item 3 shall be completed within the first five (5) business days of commencement. The supplier is responsible for coordinating the Software Engineer's travel and relocation logistics to Philippines Manila if the candidate is based in another region.

This Purchase Order is valid upon signature by both parties. The supplier is requested to confirm acceptance of this Purchase Order within five (5) business days of the date of issue. Failure to respond within this period shall be interpreted as acceptance of all terms herein.
