This Purchase Order is issued by Al-Nakheel Digital Solutions Co. Ltd. for the recruitment, onboarding, and provision of a qualified Software Engineer to be deployed and performing duties within the city of Saudi Arabia Jeddah. The Software Engineer shall be responsible for the design, development, testing, and maintenance of enterprise-grade software applications supporting the Buyer's digital transformation initiatives. The scope of work encompasses full-stack development, system integration, code review, technical documentation, and ongoing support for production systems hosted in the Buyer's data center located in Jeddah, Saudi Arabia.

3.1 Scope and Deliverables

The Software Engineer engaged under this Purchase Order shall report directly to the Buyer's Chief Technology Officer and shall perform all duties from the Buyer's premises located in Al Shati District, Jeddah, Saudi Arabia. The Software Engineer is expected to work a standard 40-hour week (Sunday through Thursday) in compliance with the Saudi Labor Law and the Buyer's internal HR policies. All deliverables, including source code, technical documentation, and system architecture diagrams, shall be the exclusive intellectual property of the Buyer upon full payment.

3.2 Payment Terms

Payment for this Purchase Order shall be made via bank transfer to the Supplier's designated account within thirty (30) calendar days from the date of receipt of a valid tax invoice. The one-time charges (Items 2, 3, and 4) are due within fourteen (14) days of the Software Engineer's successful onboarding in Saudi Arabia Jeddah. Monthly recurring charges (Items 1 and 5) shall be invoiced on the first business day of each calendar month and are payable within thirty (30) days. Late payments shall accrue interest at a rate of 1.5% per month as stipulated under Saudi commercial law.

3.3 Visa and Residency Compliance

The Supplier shall ensure that the Software Engineer holds a valid work visa and Iqama (residency permit) issued by the Saudi Ministry of Human Resources and Social Development prior to commencing work in Saudi Arabia Jeddah. The Buyer shall bear the cost of visa sponsorship as outlined in Item 2 of this Purchase Order. Any changes to the Software Engineer's residency status shall be communicated to the Buyer within five (5) business days.

3.4 Performance and Quality Standards

The Software Engineer shall adhere to the Buyer's coding standards, agile development methodology (Scrum), and quality assurance protocols. Monthly performance reviews shall be conducted by the Buyer's IT management team. Failure to meet the agreed Key Performance Indicators (KPIs) for two consecutive months shall entitle the Buyer to terminate this Purchase Order with thirty (30) days' written notice without penalty.

3.5 Confidentiality and Data Protection

The Software Engineer shall sign a Non-Disclosure Agreement (NDA) and a Data Protection Addendum in accordance with the Saudi Personal Data Protection Law (PDPL) before accessing any of the Buyer's systems, source code, or client data. All data processed in Saudi Arabia Jeddah shall remain within the Kingdom's borders unless explicit written consent is provided by the Buyer.

3.6 Termination

Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of material breach, termination may be effected with fourteen (14) days' notice. Upon termination, the Supplier shall ensure an orderly transition of all work-in-progress, credentials, and documentation to the Buyer's designated successor within ten (10) business days.

3.7 Governing Law and Dispute Resolution

This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from or in connection with this Purchase Order shall be resolved through the competent courts in Jeddah, Saudi Arabia, or through arbitration under the rules of the Saudi Center for Commercial Arbitration (SCCA) if both parties agree in writing.

The Software Engineer shall be available for on-site work in Saudi Arabia Jeddah no later than 1 August 2025. The Buyer shall have a period of fourteen (14) calendar days from the Software Engineer's first day of work to confirm acceptance of the service. Acceptance shall be communicated in writing via email to the Supplier's account manager. If no objection is raised within the acceptance period, the service shall be deemed accepted.

This Purchase Order is valid only when signed and stamped by the authorized representatives of both parties. No modification to this Purchase Order shall be effective unless executed in writing by both parties.
