The Software Engineer will report directly to the Chief Technology Officer and will be based at the Meridian Digital Solutions headquarters in Singapore Singapore for the duration of the engagement.

1. This Purchase Order constitutes a binding agreement between Meridian Digital Solutions Pte. Ltd. and Apex Talent Partners Pte. Ltd. for the provision of a Software Engineer professional service in Singapore Singapore. All terms are governed by the laws of the Republic of Singapore.
2. The Software Engineer shall commence duties no later than 01 August 2025 at the designated office location in Singapore Singapore. Failure to meet this commencement date shall entitle the Buyer to a pro-rata refund of the recruitment fee.
3. Payment shall be made within thirty (30) calendar days from the date of invoice receipt. Invoices shall be submitted in Singapore Dollars (SGD) and remitted via bank transfer to the account specified by Apex Talent Partners Pte. Ltd.
4. The Supplier guarantees that the Software Engineer placed under this Purchase Order shall meet the minimum qualifications and experience criteria outlined in the Scope of Work. In the event of non-compliance, the Supplier shall provide a replacement Software Engineer within fourteen (14) business days at no additional cost.
5. All intellectual property developed by the Software Engineer during the course of this engagement in Singapore Singapore shall be the sole property of Meridian Digital Solutions Pte. Ltd.
6. Either party may terminate this Purchase Order with thirty (30) days written notice. Upon termination, all outstanding fees for services rendered up to the termination date shall be settled in full.
7. This Purchase Order is subject to the standard terms and conditions of Apex Talent Partners Pte. Ltd. as annexed hereto. In the event of any conflict, the terms of this Purchase Order shall prevail.
8. All disputes arising from this Purchase Order shall be resolved through arbitration in Singapore Singapore in accordance with the rules of the Singapore International Arbitration Centre (SIAC).
