The Software Engineer is expected to demonstrate proficiency in modern programming languages including but not limited to Python, Java, C#, and TypeScript, as well as experience with cloud infrastructure services hosted within the South African data centre ecosystem.

1. This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Service Provider upon signature by both authorised representatives. All terms herein shall be governed by the laws of the Republic of South Africa, with jurisdiction vested in the High Court of South Africa, Cape Town Division.
2. The Software Engineer engaged under this Purchase Order shall be treated as an independent contractor and not as an employee of the Purchasing Entity. The Service Provider shall be solely responsible for all statutory deductions, including but not limited to income tax, UIF contributions, and any applicable local municipal levies within the South Africa Cape Town municipality.
3. Payment terms: Invoices shall be submitted on the last working day of each calendar month. Payment shall be made within thirty (30) days of receipt of a valid tax invoice via electronic funds transfer (EFT) to the Service Provider's designated bank account in South Africa. Late payments shall attract interest at the rate of 10% per annum as prescribed by the Late Payment of Debts Act, 2011 (South Africa).
4. The Software Engineer shall comply with all data protection requirements under the Protection of Personal Information Act (POPIA), 2013, and shall execute a non-disclosure agreement (NDA) prior to commencing work at the South Africa Cape Town office premises.
5. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Purchasing Entity shall be liable for all services rendered up to the effective date of termination, and the Software Engineer shall return all company property, access credentials, and proprietary materials within five (5) business days.
6. The Service Provider warrants that the Software Engineer shall possess all necessary qualifications, certifications, and professional registrations required to perform software engineering duties in South Africa. Any misrepresentation of qualifications shall render this Purchase Order voidable at the sole discretion of the Purchasing Entity.
7. All intellectual property, code, documentation, and deliverables produced by the Software Engineer during the term of this engagement shall be the sole and exclusive property of the Purchasing Entity. The Software Engineer hereby assigns all rights, title, and interest in such work product to the Purchasing Entity.
8. Force majeure events, including but not limited to natural disasters, government-imposed lockdowns, or infrastructure failures affecting the South Africa Cape Town region, shall suspend obligations under this Purchase Order for the duration of the event, provided written notice is given within 48 hours.
9. This Purchase Order may only be amended in writing, signed by both parties. No verbal modifications shall be binding. All amendments must reference this Purchase Order number (PO-SA-CT-2025-04872) explicitly.

All services rendered under this Purchase Order shall be physically performed at the following location in South Africa Cape Town: Atlantic Digital Solutions (Pty) Ltd, 124 Sea Point Promenade, Sea Point, Cape Town, 8005, Western Cape, South Africa. The Software Engineer shall report to the designated team lead on-site no later than 08:00 on each business day, Monday through Friday, in accordance with the standard working hours applicable in the Western Cape province of South Africa.
