This Purchase Order is issued to procure the services of a qualified Software Engineer to be deployed at the buyer's offices in Spain Barcelona. The Software Engineer shall be responsible for the design, development, testing, and maintenance of software applications within the buyer's technology infrastructure. The role requires a minimum of five (5) years of professional experience in full-stack software development, proficiency in Java, Python, and cloud-based architectures (AWS/Azure), and the ability to operate effectively within an Agile development framework. The Software Engineer will report directly to the Technical Director of TechNova Solutions Iberica, S.L. and will work full-time (40 hours per week) at the Barcelona office, with a maximum of 20% remote work permitted per Spanish labour regulations.

- Acceptance: This Purchase Order shall become binding upon written acceptance by the Service Provider within ten (10) business days of the date of issue. Failure to respond within this period shall constitute a rejection of this Purchase Order.
- Service Delivery: The Software Engineer shall commence duties on or before 01 September 2025 at the buyer's premises in Spain Barcelona. The Service Provider guarantees that the Software Engineer meets all qualifications, certifications, and legal work authorisations required under Spanish immigration and labour law.
- Payment Schedule: Invoices shall be submitted monthly in arrears. Payment shall be made via bank transfer to the account designated by the Service Provider within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate established by the Spanish Law on Late Payment in Commercial Transactions (Ley 3/2004).
- Compliance with Spanish Law: All services rendered under this Purchase Order shall comply with the Spanish Estatuto de los Trabajadores, the General Social Security Law (Ley General de la Seguridad Social), and all applicable regulations of the Community of Catalonia and the city of Barcelona. The Service Provider assumes full responsibility for social security contributions, income tax withholding (IRPF), and any other statutory obligations.
- Confidentiality and IP: The Software Engineer shall be bound by a Non-Disclosure Agreement (NDA) and an Intellectual Property Assignment Agreement. All code, documentation, and work product created during the engagement shall be the exclusive property of TechNova Solutions Iberica, S.L. The Software Engineer shall not disclose proprietary information of the buyer to any third party.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the buyer shall pay for all services rendered up to the effective date of termination. Termination for cause (material breach) may be effected immediately upon written notice.
- Performance Standards: The Software Engineer shall adhere to the buyer's code of conduct, development standards, and project timelines. Performance reviews shall be conducted quarterly. Persistent failure to meet agreed-upon deliverables may result in substitution of the Software Engineer at no additional cost to the buyer.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through negotiation in good faith. Failing resolution within thirty (30) days, the dispute shall be submitted to the competent courts of Barcelona, Spain. The parties waive any right to arbitration unless mutually agreed in writing.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, pandemics, or labour strikes in Spain Barcelona, provided that the affected party notifies the other within five (5) business days.
- Data Protection: Both parties shall comply with the General Data Protection Regulation (GDPR) and the Spanish Organic Law on Data Protection (LOPDGDD 3/2018) in the processing of any personal data related to the Software Engineer and the services provided.
By signing below, the authorised representatives of both parties confirm their acceptance of this Purchase Order and agree to be bound by all terms, conditions, and obligations set forth herein. This document constitutes a legally binding agreement under the commercial law of Spain.
