This Purchase Order is issued by Valencia Digital Solutions S.L. to formally engage the services of a qualified Software Engineer through the vendor TechTalent Iberia Consultancy S.L. - Place of Performance: All services under this Purchase Order shall be rendered at the buyer's offices in Spain Valencia, specifically at Calle de Colón, 45, 46004 Valencia. The Software Engineer shall be present on-site a minimum of four (4) days per week, with one (1) day permitted for remote work, subject to the buyer's approval.
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be made via bank transfer (SEPA) within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate established by the Spanish Law on Late Payment in Commercial Transactions (Ley 3/2004).
- Intellectual Property: All code, documentation, designs, and deliverables produced by the Software Engineer during the term of this Purchase Order shall be the exclusive property of Valencia Digital Solutions S.L. The Software Engineer shall sign a non-disclosure agreement (NDA) and intellectual property assignment document prior to commencing work in Spain Valencia.
- Compliance with Spanish Law: The vendor shall ensure full compliance with the Spanish Workers' Statute (Estatuto de los Trabajadores), the General Social Security Law (Ley General de la Seguridad Social), and all applicable regulations of the Valencian Community. The Software Engineer shall be registered with the appropriate social security body in Spain.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the effective date of termination. The vendor shall ensure an orderly transition of the Software Engineer's responsibilities.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies disclosed during the engagement in Spain Valencia. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved through the competent courts of Valencia, Spain. Both parties waive the right to arbitrate and consent to the exclusive jurisdiction of the judicial courts of the city of Valencia, in the province of Valencia, Spain.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the Spain Valencia region.
- Anti-Corruption: The vendor warrants that no part of the compensation under this Purchase Order shall be used for any corrupt, illegal, or improper purpose in accordance with Spanish anti-corruption legislation (Ley 10/2015 de Prevención de la Corrupción).
This Purchase Order constitutes a binding offer for the procurement of Software Engineer professional services in Spain Valencia. By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this document. This Purchase Order shall remain valid for acceptance until 30 June 2025.
