This Purchase Order is issued by Apex Digital Solutions (Pvt) Ltd to formally engage the services of a qualified Software Engineer based in Sri Lanka Colombo for the design, development, testing, and deployment of a proprietary enterprise resource planning (ERP) platform. The Software Engineer shall operate out of the designated workspace located at 42 Galle Road, Colombo 03, Sri Lanka Colombo, and shall report directly to the Chief Technology Officer of the purchasing entity. The scope of work encompasses full-stack development, database architecture, API integration, and ongoing technical support for a period of twelve (12) months commencing on 01 July 2025.

The Software Engineer engaged under this Purchase Order shall be responsible for the following deliverables while working from the Sri Lanka Colombo office premises:

Design and implementation of a scalable microservices-based ERP system using Java, Spring Boot, React, and PostgreSQL.
Development of RESTful and GraphQL APIs for internal and external stakeholder integration.
Construction of a secure, multi-tenant database schema with role-based access control.
End-to-end testing including unit tests, integration tests, and user acceptance testing (UAT) conducted in the Colombo, Sri Lanka office.
Deployment to a cloud infrastructure (AWS ap-southeast-1 region) with CI/CD pipeline configuration.
Preparation of comprehensive technical documentation, system architecture diagrams, and user manuals.
Six months of post-deployment support, bug fixes, and performance tuning from the Sri Lanka Colombo location.

Acceptance: This Purchase Order shall be deemed accepted upon written confirmation by the Software Engineer within five (5) business days of receipt. Failure to confirm within this period shall render this Purchase Order null and void.
Work Location: All services shall be rendered from the designated office in Sri Lanka Colombo. Remote work may be permitted with prior written approval from the purchasing entity, provided that the Software Engineer maintains a minimum of four (4) days per week on-site in Colombo.
Payment Schedule: A 50% advance payment of LKR 4,047,400 shall be disbursed within ten (10) business days of Purchase Order acceptance. The remaining 50% shall be paid within thirty (30) days of final project acceptance and delivery of all documentation.
Intellectual Property: All code, designs, documentation, and deliverables produced under this Purchase Order shall be the exclusive property of Apex Digital Solutions (Pvt) Ltd. The Software Engineer hereby assigns all intellectual property rights upon full payment.
Confidentiality: The Software Engineer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and client data encountered during the engagement in Sri Lanka Colombo. This obligation shall survive for three (3) years post-engagement.
Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Software Engineer shall be compensated for all work completed up to the termination date.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes shall be resolved through arbitration in Colombo, Sri Lanka Colombo, in accordance with the Arbitration Act No. 11 of 1995.
Compliance: The Software Engineer shall comply with all applicable Sri Lankan labor laws, data protection regulations (Personal Data Protection Act No. 9 of 2022), and industry standards while performing services in Sri Lanka Colombo.
Warranty: The Software Engineer warrants that all deliverables shall be free from material defects for a period of ninety (90) days from the date of final acceptance. Any defects identified within this period shall be rectified at no additional cost.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in Sri Lanka Colombo.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Software Engineer in Sri Lanka Colombo.
