This Purchase Order is issued by Meridian Digital Solutions A.S. to Anadolu Tech Consulting Ltd. Şti. for the engagement of qualified Software Engineer professionals to deliver end-to-end software development, system integration, and technical consulting services. All services under this Purchase Order shall be performed exclusively within the Turkey Istanbul metropolitan area, with the primary work location at the Buyer's Levent office facility. The Software Engineer personnel assigned to this contract must hold a minimum of five (5) years of professional experience in enterprise-grade application development, cloud architecture, and full-stack engineering.

All prices are quoted in Turkish Lira (TRY) and are inclusive of the Software Engineer personnel's statutory social security contributions (SGK), occupational health and safety compliance, and professional liability insurance as mandated under Turkish labor law. USD equivalent at the time of invoicing: approximately USD 14,210.00 (reference rate: 33.33 TRY/USD).

4.1 Commencement and Duration

The Software Engineer team shall commence work no later than 1 July 2025 at the Buyer's designated facility in Levent, Istanbul. The total contract duration under this Purchase Order is six (6) months, concluding on 31 December 2025, unless extended by mutual written agreement of both parties.

4.2 Payment Schedule

Payment shall be made in equal monthly installments of TRY 78,940.00 (inclusive of 20% KDV), due within thirty (30) calendar days of receipt of a valid invoice from the Seller. The first invoice shall be issued upon successful onboarding and first-week performance verification of all Software Engineer personnel. Late payments shall accrue interest at the statutory rate prescribed by the Turkish Commercial Code (Türk Ticaret Kanunu, Article 30).

4.3 Performance and Quality Standards

All Software Engineer deliverables must conform to the technical specifications outlined in Annex A (attached separately) and adhere to ISO/IEC 25010 software quality characteristics. The Buyer reserves the right to conduct bi-weekly performance reviews. Any Software Engineer who fails to meet the agreed-upon performance benchmarks for two consecutive review cycles may be replaced by the Seller within ten (10) business days at no additional cost to the Buyer.

4.4 Intellectual Property

All source code, documentation, architectural designs, and proprietary knowledge created by the Software Engineer team in the course of fulfilling this Purchase Order shall be the exclusive intellectual property of Meridian Digital Solutions A.S. The Seller and its assigned Software Engineer personnel shall execute a comprehensive IP assignment and non-disclosure agreement (NDA) prior to the commencement date.

4.5 Confidentiality and Data Protection

The Seller and all Software Engineer personnel shall comply with the Turkish Personal Data Protection Law (KVKK — Law No. 6698) and the EU General Data Protection Regulation (GDPR) to the extent applicable. No data, code, or business information pertaining to the Buyer shall be disclosed to third parties or stored on personal devices without prior written authorization.

4.6 Termination

Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Seller shall deliver all work-in-progress, source repositories, and documentation to the Buyer within five (5) business days.

4.7 Governing Law and Dispute Resolution

This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from or in connection with this Purchase Order shall be resolved by the competent courts of Istanbul, Turkey. The parties agree to attempt mediation through the Istanbul Chamber of Commerce (İTO) before initiating litigation.

4.8 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, pandemics, or civil unrest affecting the Turkey Istanbul region. The affected party shall notify the other within 48 hours of the occurrence.

This Purchase Order becomes binding upon signature by both parties. The Seller's acceptance of this Purchase Order constitutes full agreement to all terms, conditions, pricing, and scope of work described herein. No modification to this Purchase Order shall be valid unless executed in writing and signed by authorized representatives of both parties.
