This Purchase Order is issued by Meridian Digital Solutions Ltd (hereinafter referred to as the "Buyer") to Apex Talent Partners LLP (hereinafter referred to as the "Supplier") for the recruitment, placement, and ongoing management of a Software Engineer to be based and performing duties within the United Kingdom Birmingham metropolitan area. The Buyer requires a fully qualified Software Engineer with a minimum of five (5) years of professional experience in full-stack development, cloud architecture, and agile software delivery methodologies.
The Software Engineer shall be engaged on a fixed-term contract of twelve (12) months, commencing on 1 September 2025, with the option to extend for a further six (6) months at the Buyer's sole discretion. The role will be performed primarily at the Buyer's premises located at 12 Corporation Street, Birmingham, B1 1BB, United Kingdom, with a maximum of two (2) days per week permitted for remote working from any location within the United Kingdom Birmingham postal district.
The Software Engineer placed under this Purchase Order shall be responsible for the following key deliverables and responsibilities throughout the engagement period in United Kingdom Birmingham:
- Design, development, testing, and deployment of scalable web applications and microservices using modern technology stacks including but not limited to Java, Python, React, and AWS cloud infrastructure.
- Collaboration with the Buyer's internal product teams, project managers, and stakeholders based in United Kingdom Birmingham to ensure alignment with business objectives and technical architecture standards.
- Participation in agile sprint cycles, code reviews, pair programming sessions, and technical documentation as required by the Buyer's development governance framework.
- Maintenance and enhancement of existing legacy systems, ensuring backward compatibility and adherence to the Buyer's security and compliance policies as mandated by UK data protection legislation.
- Mentoring of junior developers and contributing to the Buyer's internal knowledge-sharing programme within the United Kingdom Birmingham office.
- Attendance at all mandatory company meetings, training sessions, and team-building events held at the Buyer's Birmingham, United Kingdom premises.

Payment shall be made via BACS transfer to the Supplier's designated bank account within thirty (30) calendar days of receipt of a valid invoice. Invoices shall be submitted on the last working day of each calendar month. The Buyer reserves the right to withhold payment for any month in which the Software Engineer fails to meet the agreed service level standards as defined in the attached Service Level Agreement (SLA).
- This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of United Kingdom Birmingham.
- The Supplier warrants that the Software Engineer placed under this Purchase Order shall be fully authorised to work in the United Kingdom and shall hold all necessary visas, permits, or right-to-work documentation. The Supplier shall indemnify the Buyer against any claims arising from non-compliance with UK immigration or employment legislation.
- The Software Engineer shall be bound by the Buyer's confidentiality and non-disclosure policies. All intellectual property created during the course of the engagement in United Kingdom Birmingham shall be the sole property of the Buyer.
- The Buyer may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall be liable for fees accrued up to the date of termination plus a replacement guarantee period of ninety (90) days during which the Supplier shall provide a replacement Software Engineer at no additional cost.
- The Supplier shall maintain professional indemnity insurance of no less than £5,000,000 and public liability insurance of no less than £2,000,000 throughout the duration of this Purchase Order.
- All services rendered under this Purchase Order shall comply with the UK Equality Act 2010, the Working Time Regulations 1998, and all applicable health and safety legislation in force in the United Kingdom.
- Neither party shall assign or transfer this Purchase Order without the prior written consent of the other party, except in the case of a merger, acquisition, or change of control.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Software Engineer in United Kingdom Birmingham. This Purchase Order constitutes a binding agreement upon execution by both parties.
