This Purchase Order is issued by Northbridge Digital Solutions Ltd. (hereinafter referred to as the "Buyer") to Apex Talent Partners (UK) Ltd. (hereinafter referred to as the "Seller") for the procurement and engagement of a qualified Software Engineer to provide full-time professional technical services at the Buyer's principal office located in United Kingdom Manchester. The engagement of this Software Engineer is intended to support the Buyer's ongoing software development lifecycle, including but not limited to system architecture design, application development, code review, performance optimisation, and technical support for enterprise-grade platforms.

The Software Engineer shall be based at the Buyer's premises at 42 Deansgate Square, Manchester, United Kingdom, and shall report directly to the Head of Engineering. The role requires a minimum of five (5) years of professional experience in full-stack software development, proficiency in at least two of the following languages (Python, Java, C#, TypeScript), and demonstrated expertise in cloud-based infrastructure (AWS, Azure, or GCP). The Software Engineer must hold a valid right to work in the United Kingdom and shall comply with all applicable UK employment and data protection regulations, including the UK General Data Protection Regulation (UK GDPR).

The Software Engineer shall commence duties no later than 1 September 2025 at the Buyer's office in United Kingdom Manchester. The Seller is required to complete all onboarding procedures, including background checks, right-to-work verification, and security clearance, no later than 28 August 2025. The contract term for this Purchase Order shall be twelve (12) months from the commencement date, with an option for renewal subject to mutual written agreement between both parties.

Payment for the services outlined in this Purchase Order shall be made on a monthly basis in arrears. Invoices shall be submitted by the Seller on or before the fifth (5th) business day of each calendar month for the preceding month's services. Payment shall be made via BACS transfer to the Seller's designated bank account within thirty (30) days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. • 5.1 This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of England and Wales, with the primary venue being Manchester, United Kingdom.
• 5.2 The Software Engineer engaged under this Purchase Order shall be bound by a strict confidentiality and non-disclosure agreement (NDA) covering all proprietary information, source code, architectural documentation, and client data encountered during the term of engagement in United Kingdom Manchester.
• 5.3 The Seller warrants that the Software Engineer shall possess all necessary qualifications, certifications, and professional competencies as specified in Section 1 of this Purchase Order. Any material misrepresentation of the Software Engineer's credentials shall entitle the Buyer to terminate this Purchase Order immediately without penalty.
• 5.4 The Buyer reserves the right to request a replacement Software Engineer if the incumbent fails to meet performance benchmarks as defined in the attached Service Level Agreement (SLA), with a minimum of fourteen (14) days' written notice.
• 5.5 All intellectual property, code, documentation, and work product created by the Software Engineer during the course of this engagement shall be the sole and exclusive property of the Buyer upon creation.
• 5.6 The Seller shall maintain adequate professional indemnity and public liability insurance throughout the term of this Purchase Order, with minimum cover of £5,000,000 per claim.
• 5.7 Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, all outstanding invoices for services rendered up to the termination date shall be settled in full.
• 5.8 This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, and agreements, whether written or oral.
