- Scope of Work: This Purchase Order authorizes Apex Talent Partners LLC to recruit, place, and manage the employment of qualified Software Engineer professionals at Meridian Digital Solutions, Inc. in United States Chicago. All Software Engineer personnel shall report to the designated office at 233 South Wacker Drive, United States Chicago, IL 60606, unless otherwise agreed in writing.
- Qualifications: Each Software Engineer candidate must hold a minimum of a Bachelor's degree in Computer Science, Software Engineering, or a related field from an accredited institution. Candidates must demonstrate a minimum of five (5) years of professional experience in software development. All Software Engineer placements are subject to background verification and reference checks compliant with United States Chicago and Illinois state law.
- Payment Schedule: Invoices for Software Engineer services shall be submitted on a monthly basis by the 5th business day of the following month. Payment is due within thirty (30) days of invoice receipt. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with Illinois commercial code provisions applicable in United States Chicago.
- Performance Standards: Each Software Engineer shall adhere to Meridian Digital Solutions' code review policies, agile development sprints, and project milestones. Quarterly performance evaluations shall be conducted. Failure to meet agreed-upon deliverables may result in replacement of the Software Engineer at no additional cost to the Buyer.
- Confidentiality & IP: All Software Engineer personnel shall execute non-disclosure agreements and intellectual property assignment documents prior to commencing work. All code, documentation, and proprietary information developed during the engagement in United States Chicago shall remain the exclusive property of Meridian Digital Solutions, Inc.
- Compliance: All services rendered under this Purchase Order shall comply with applicable federal, Illinois state, and United States Chicago municipal laws, including but not limited to the Illinois Human Rights Act, the Fair Labor Standards Act, and local wage and hour ordinances in effect in United States Chicago.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall be liable for all Software Engineer services rendered through the effective date of termination. Apex Talent Partners shall facilitate an orderly transition of all Software Engineer personnel and project documentation.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through binding arbitration in United States Chicago, Illinois, in accordance with the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorney's fees and costs.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in United States Chicago.
- Entire Agreement: This Purchase Order, together with any attached exhibits and the Master Service Agreement dated March 15, 2025, constitutes the entire agreement between the parties regarding the procurement of Software Engineer services in United States Chicago and supersedes all prior negotiations, representations, or agreements.
