This Purchase Order is issued by the Brussels Education & Inclusion Directorate to formally request and authorize the engagement of a qualified Special Education Teacher to provide dedicated instructional and therapeutic support services within the public school network of the Belgium Brussels Capital Region. The services described herein are governed by the Federal Decree of 29 February 1999 on the Organisation of Special Education in the French-speaking Community of Belgium and the applicable regulations of the Brussels-Capital Region.
The Special Education Teacher engaged under this Purchase Order shall hold a recognised teaching qualification in special education (Diplôme de l'Enseignement Supérieur Spécialisé or equivalent) issued by an accredited institution in Belgium or a mutually recognised EU member state. The teacher must demonstrate a minimum of five (5) years of professional experience in special education settings, including but not limited to support for students with intellectual disabilities, autism spectrum disorders, sensory impairments, and specific learning difficulties.

4.1 Governing Law and Jurisdiction: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of the Kingdom of Belgium. Any disputes arising from this Purchase Order relating to the provision of Special Education Teacher services in Belgium Brussels shall be submitted to the exclusive jurisdiction of the Court of First Instance of Brussels (Tribunal de Première Instance de Bruxelles / Rechtbank van Eerste Aanleg van Brussel).
4.2 Compliance with Belgian Education Regulations: The Special Education Teacher engaged under this Purchase Order shall comply with all applicable regulations of the French-speaking Community of Belgium, the Brussels-Capital Region, and the Federal Government of Belgium, including the Decree of 29 February 1999 on Special Education, the Decree of 24 June 2011 on Inclusive Education, and all relevant provisions of the Belgian Labour Code (Code du travail / Wetboek van het werk).
4.3 Payment Schedule: Payment shall be made in monthly instalments within thirty (30) calendar days of receipt of a valid invoice from the Supplier. Invoices must reference this Purchase Order number (PO-BE-BRU-2025-04782) and include the Supplier's Belgian VAT number. Payment shall be made via bank transfer to the account designated by Inclusive Learning Solutions SRL, domiciled in Belgium Brussels.
4.4 Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days, except in cases of material breach, in which case termination may be effected with thirty (30) days' notice. In the event of termination, the Buyer shall pay for all Special Education Teacher services rendered up to the effective date of termination.
4.5 Confidentiality and Data Protection: All personal data of students, parents, and staff processed in connection with this Purchase Order shall be handled in strict compliance with the General Data Protection Regulation (GDPR) (EU) 2016/679 and the Belgian Data Protection Act of 30 July 2018. The Special Education Teacher shall maintain the confidentiality of all student records and assessment data at all times.
4.6 Insurance and Liability: The Supplier shall maintain professional liability insurance with a minimum coverage of €1,000,000 per claim, valid throughout the territory of Belgium Brussels and the entire Kingdom of Belgium. The Supplier shall indemnify and hold harmless the Buyer against any claims arising from the negligence or professional misconduct of the Special Education Teacher.
4.7 Language of Instruction: In accordance with the bilingual framework of Belgium Brussels, the Special Education Teacher shall be proficient in both French and Dutch. Instructional materials and IEP documentation shall be produced in the language of the student's primary instruction, with translations provided where necessary for the Brussels Education & Inclusion Directorate's records.
4.8 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to government-mandated school closures, epidemics, or acts of authority by the Belgian federal, regional, or municipal government of Brussels.
