This Purchase Order is issued by the Beijing Municipal Education Bureau — Special Education Division for the procurement of qualified Special Education Teacher services to be deployed across designated schools and rehabilitation centres within the administrative boundaries of China Beijing. The Special Education Teacher(s) engaged under this Purchase Order shall provide direct instructional support, individualized education plan (IEP) development, behavioural intervention strategies, and parent/caregiver consultation for students with intellectual, sensory, physical, and emotional disabilities.

All Special Education Teacher personnel referenced in this Purchase Order shall commence their duties no later than 1 September 2025, coinciding with the start of the autumn academic term in China Beijing. The Seller shall ensure that each Special Education Teacher has completed all required background checks, health examinations, and registration with the Beijing Municipal Human Resources and Social Security Bureau prior to the commencement date. Onboarding orientation specific to the policies of the Beijing Municipal Education Bureau shall be conducted during the first two weeks of employment.

Payment shall be made in Renminbi (CNY) via bank transfer to the Seller’s designated corporate account in China Beijing.
An initial payment of 30% of the total Purchase Order value (CNY 416,580.00) shall be due within 15 business days of the date of this Purchase Order, contingent upon the Seller’s written acceptance.
The remaining 70% shall be disbursed in four equal quarterly instalments (CNY 232,120.00 each), payable within 30 days of the end of each calendar quarter, subject to satisfactory performance review of the Special Education Teacher personnel.
All payments are subject to the Seller providing a valid VAT invoice (fapiao) compliant with the regulations of the State Taxation Administration of China.
Late payments shall incur a penalty of 0.05% per calendar day, in accordance with the Civil Code of the People’s Republic of China.

Every Special Education Teacher engaged under this Purchase Order must hold a valid Special Education Teacher Qualification Certificate (zhuan jiao zhi ye zige zheng) issued or recognised by the Beijing Municipal Education Bureau.
The Seller warrants that all Special Education Teacher candidates have no criminal record and have passed the mandatory psychological and physical fitness assessments required for educational personnel in China Beijing.
The Seller shall maintain a minimum of 10% reserve capacity to replace any Special Education Teacher who becomes unavailable due to illness, resignation, or disciplinary action, with a replacement of equivalent or superior qualification within 14 calendar days.
All services rendered under this Purchase Order shall comply with the Law of the People’s Republic of China on the Protection of Persons with Disabilities (2008, amended 2018) and the Regulations on the Administration of Special Education as applicable in China Beijing.

The Buyer reserves the right to conduct quarterly performance evaluations of each Special Education Teacher. Acceptance of services for each quarter is contingent upon the Special Education Teacher meeting the key performance indicators (KPIs) outlined in the attached Service Level Agreement (SLA), which includes student progress metrics, parent satisfaction scores (minimum 85%), and compliance with all China Beijing municipal education reporting requirements. Failure to meet KPIs for two consecutive quarters shall entitle the Buyer to terminate the affected position under this Purchase Order with 30 days’ written notice.

The Seller and all Special Education Teacher personnel shall adhere to the Personal Information Protection Law of the People’s Republic of China (effective 1 November 2021). All student records, IEP documents, and medical information accessed in the course of providing services under this Purchase Order in China Beijing shall be treated as strictly confidential and shall not be disclosed to any third party without the written consent of the student’s legal guardian and the Buyer.

This Purchase Order shall be governed by and construed in accordance with the laws of the People’s Republic of China. Any dispute arising out of or in connection with this Purchase Order shall first be resolved through amicable negotiation. If negotiation fails within 30 days, the dispute shall be submitted to the Beijing Arbitration Commission for arbitration in China Beijing. The arbitral award shall be final and binding upon both parties.

This Purchase Order constitutes the entire agreement between the Buyer and the Seller with respect to the procurement of Special Education Teacher services and supersedes all prior negotiations, representations, and agreements.
No amendment to this Purchase Order shall be valid unless made in writing and signed by authorised representatives of both parties.
The Seller shall not subcontract any portion of the Special Education Teacher services without the prior written consent of the Buyer.
This Purchase Order is valid for a period of 30 calendar days from the date of issue. If the Seller does not accept within this period, the Purchase Order shall lapse automatically.
