Under this Purchase Order, the Supplier shall provide fully certified Special Education Teachers who hold valid teaching licenses issued by the State of Israel Ministry of Education. Each Special Education Teacher assigned under this Purchase Order must possess a minimum of a B.Ed. degree in Special Education from an accredited Israeli university, along with at least three (3) years of documented experience in inclusive and special education settings within Israel. The Special Education Teachers shall be stationed in designated schools across the Israel Jerusalem metropolitan area, including the Old City educational zone, the Givat Shmuel district, and the Ma'ale Adumim outlying schools.
Each Special Education Teacher shall develop and implement Individualized Education Programs (IEPs) in compliance with Israeli special education legislation (Section 10 of the Special Education Law, 5756-1996). The Teachers shall conduct regular assessments, maintain detailed student progress records, collaborate with general education teachers, parents, and multidisciplinary teams, and participate in all Jerusalem Municipal Education Authority review cycles. The Special Education Teachers shall also be available for emergency response to behavioral incidents and shall attend all mandated professional development sessions organized by the Jerusalem district.
- Payment Terms: Payment shall be made in quarterly installments within thirty (30) days of invoice submission. The first installment is due upon confirmed commencement of services on 1 September 2025. All payments shall be processed in Israeli New Shekels (ILS) via bank transfer to the Supplier's designated account in Israel.
- Performance Standards: The Supplier guarantees that all Special Education Teachers placed under this Purchase Order shall meet the minimum qualification standards set forth by the Israel Ministry of Education. Failure to meet these standards shall entitle the Purchasing Party to request immediate replacement at no additional cost.
- Compliance with Israeli Law: All services rendered under this Purchase Order shall comply with the laws of the State of Israel, including but not limited to the Special Education Law, the Labor Law, the Privacy Protection Law, and all municipal regulations applicable to the Jerusalem education district.
- Confidentiality: The Supplier and all Special Education Teachers shall maintain strict confidentiality regarding student records, IEPs, and any sensitive information encountered during the course of their duties in Israel Jerusalem. Breach of confidentiality shall constitute grounds for immediate termination of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. The Purchasing Party may terminate immediately for material breach, failure to provide qualified Special Education Teachers, or non-compliance with Israeli educational regulations.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Jerusalem, Israel, in accordance with the provisions of the Israeli Arbitration Law. The courts of Jerusalem shall have exclusive jurisdiction.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the Israel Jerusalem region.
- Warranty: The Supplier warrants that all Special Education Teachers shall remain in good standing with the Israeli Teachers' Licensing Board throughout the duration of this Purchase Order and shall maintain all required professional liability insurance.
