This Purchase Order is issued by Instituto Educativo Integral del Valle de México, S.A. de C.V. (hereinafter referred to as the "Buyer") to Servicios Educativos Especializados del Centro, S.A. de C.V. (hereinafter referred to as the "Provider") for the professional services of a qualified Special Education Teacher to be deployed and rendered at the Buyer's primary campus located in Mexico, Mexico City. All services under this Purchase Order shall be performed at the Buyer's facility located at Av. Insurgentes Sur No. 1850, Col. Cuauhtémoc, Mexico, Mexico City, CP 06500. The Special Education Teacher shall report to the campus on a Monday through Friday schedule, from 08:00 to 17:00 hours local time (GMT-6), with a one-hour unpaid lunch break. The academic term covered by this Purchase Order spans from August 18, 2025, through June 12, 2026, in accordance with the official academic calendar published by the Mexico City education authority.
5. PAYMENT TERMS- Payment shall be made in monthly installments via bank transfer (SPEI) to the Provider's designated account in Mexican Pesos (MXN), within fifteen (15) business days of receipt of a valid invoice (factura) compliant with Mexican tax regulations (CFDI 4.0 format).
- The first payment installment shall be due upon successful onboarding and verification of the Special Education Teacher's credentials, SEP certification, and IMSS registration in Mexico City.
- Late payments shall accrue interest at the rate established by the Banco de México for the corresponding period.
- All amounts stated in this Purchase Order are in Mexican Pesos (MXN) and are inclusive of applicable local taxes unless otherwise specified.
- The Provider guarantees that the Special Education Teacher assigned under this Purchase Order holds a valid professional license issued by the Secretaría de Educación Pública for the Mexico City jurisdiction, a degree in Special Education (Especialidad en Educación Especial) from a recognized Mexican institution, and a minimum of five (5) years of documented experience in inclusive education settings.
- The Special Education Teacher shall comply with all data protection obligations under the Mexican Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP) regarding student records and confidential information.
- This Purchase Order may be terminated by either party with thirty (30) days' written notice. In the event of termination, the Provider shall ensure a minimum of two (2) weeks of transition support for the Special Education Teacher's responsibilities.
- The Provider is responsible for all labor obligations, social security contributions (IMSS), and statutory benefits for the Special Education Teacher in accordance with the Mexican Federal Labor Law (Ley Federal del Trabajo).
- Any disputes arising from this Purchase Order shall be resolved through mediation in Mexico City, Mexico, in accordance with the applicable provisions of the Mexican Civil Code for the Federal District.
- This Purchase Order constitutes the entire agreement between the parties regarding the engagement of the Special Education Teacher and supersedes all prior negotiations, representations, or agreements.
