- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier for the provision of Special Education Teacher services at the Johannesburg Special Needs Education Centre, effective from 01 July 2025 through 30 June 2026, unless terminated earlier in accordance with Clause 9.
- The Supplier warrants that the Special Education Teacher engaged under this Purchase Order holds a valid South African teaching registration with the South African Council for Educators (SACE) and possesses a current medical certificate of fitness as required by the Occupational Health and Safety Act (Act 85 of 1993).
- All services shall be rendered at the Buyer's premises in Sandton, Johannesburg, South Africa, during standard school hours (07:30–15:30, Monday to Friday), with an additional two (2) hours per week allocated for IEP planning and parent consultations.
- Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice. Invoices must reference this Purchase Order number (PO/JHB/SET/2025/0472) and include the Supplier's VAT registration number. Late payments shall attract interest at the rate prescribed by the Late Payment of Interest and Other Costs Act (Act 15 of 2011).
- The Supplier shall comply with all applicable South African legislation, including the Protection of Personal Information Act (POPIA, Act 4 of 2013) regarding the handling of learner data, the Children's Act (Act 38 of 2005), and the Employment Equity Act (Act 55 of 1998).
- The Special Education Teacher shall be subject to a pre-employment criminal background check (SAPS clearance) and a National Child Protection Register check, as mandated by the South African Department of Basic Education for all personnel working with learners in special education settings in Johannesburg and the broader Gauteng province.
- The Supplier shall maintain a minimum B-BBEE Level 1 Contributor status throughout the contract period. Failure to maintain this status shall entitle the Buyer to terminate this Purchase Order with fourteen (14) days' written notice.
- All intellectual property, lesson plans, IEPs, and assessment records developed by the Special Education Teacher in the course of this engagement shall remain the property of the Buyer (JSNEC) and shall be stored in accordance with the institution's records retention policy.
- Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of material breach, termination may be effected with seven (7) days' notice. Termination shall not affect any accrued rights or obligations up to the date of termination.
- Any disputes arising from this Purchase Order shall be resolved through mediation in Johannesburg, South Africa, in accordance with the Arbitration Act (Act 27 of 1965). The governing law of this Purchase Order shall be the laws of the Republic of South Africa.
- This Purchase Order may not be assigned or sub-contracted without the prior written consent of the Buyer. The Supplier shall not delegate the core Special Education Teacher role to any third party without express approval from Dr. Naledi Mokoena.
The Special Education Teacher shall commence duties on 01 July 2025 at the Johannesburg Special Needs Education Centre, Sandton campus. A probationary period of three (3) months shall apply, during which the Buyer reserves the right to assess the Special Education Teacher's suitability and performance against the KPIs outlined in Annexure A (attached separately). Upon successful completion of the probationary period, the engagement shall continue for the remainder of the 12-month contract term.
