This Purchase Order is issued by Clinique de Réhabilitation Neurologique d'Alger to formally request and authorize the provision of specialized Speech Therapist services to be delivered at the clinic's premises located in Algeria Algiers. The engagement of a qualified Speech Therapist is required to address the growing demand for speech and language rehabilitation among pediatric and adult patients within the Algiers metropolitan area. The Speech Therapist shall be responsible for conducting comprehensive speech assessments, designing individualized therapy plans, and delivering evidence-based intervention sessions for patients presenting with articulation disorders, aphasia, dysphagia, stuttering, and other speech and language impairments.
The Speech Therapist engaged under this Purchase Order must hold a minimum of a Master's degree in Speech-Language Pathology or an equivalent qualification recognized by the Algerian Ministry of Health. Additionally, the Speech Therapist must possess a valid professional license issued by the relevant Algerian regulatory authority and a minimum of five (5) years of documented clinical experience in the delivery of speech therapy services in a hospital or outpatient setting within Algeria Algiers or an equivalent international environment.

Payment for the services rendered under this Purchase Order shall be made in Algerian Dinars (DZD) via bank transfer to the account of SpeechCare Professional Services SARL. The payment schedule is structured as follows:
- 30% advance payment (DZD 1,285,800) upon signing and acceptance of this Purchase Order, to be disbursed within ten (10) business days.
- Monthly installments of DZD 185,000 for the Speech Therapist's clinical sessions, payable by the 5th business day of the following month, subject to submission of a monthly activity report.
- Per-assessment fees of DZD 3,500 shall be invoiced quarterly, with payment due within fifteen (15) days of invoice receipt.
- Group workshop fees shall be invoiced bi-monthly with payment due within fifteen (15) days.
- Training and supervision fees shall be invoiced monthly with payment due within fifteen (15) days.
- Equipment procurement (Item 5) shall be paid in full within thirty (30) days of delivery and installation at the clinic in Algeria Algiers.
- This Purchase Order constitutes a binding agreement between the Purchasing Party and the Supplier for the provision of Speech Therapist services in Algeria Algiers, effective from the date of mutual signature.
- The Speech Therapist shall comply with all applicable Algerian healthcare regulations, including those set forth by the Algerian Ministry of Health and the National Order of Speech-Language Pathologists.
- The Supplier guarantees that the Speech Therapist assigned to this contract shall maintain full professional liability insurance coverage throughout the duration of this Purchase Order.
- All patient records, assessment reports, and therapy documentation produced by the Speech Therapist shall remain the exclusive property of the Purchasing Party and shall be stored in accordance with Algerian data protection laws.
- The Speech Therapist shall submit a detailed monthly progress report to the Director of Clinical Services by the 3rd business day of each month, summarizing patient outcomes, session attendance, and any clinical concerns.
- Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination, the Supplier shall be compensated for all services rendered up to the effective date of termination.
- Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be referred to the competent commercial courts of Algeria Algiers.
- The Supplier shall not subcontract the Speech Therapist role to any third party without prior written consent from the Purchasing Party.
- All services shall be performed at the Purchasing Party's facility in Algeria Algiers, unless otherwise agreed in writing for home-visit therapy sessions.
Note: The Speech Therapist engaged under this Purchase Order must be fluent in both Arabic and French to effectively communicate with the diverse patient population served by the clinic in Algeria Algiers. A copy of the professional license, degree certificate, and CV shall be attached as Annex A to this document. The Supplier acknowledges that this Purchase Order is subject to the Algerian Public Procurement Code (Law 23-02) where applicable, and all invoicing must include the applicable VAT (TVA) at the rate of 19% as mandated by Algerian tax law.
