This Purchase Order authorizes the procurement of professional Speech Therapist services to be delivered at the designated facility in Germany Frankfurt. The contracted Speech Therapist shall provide comprehensive logopedic and speech-language pathology services to patients referred by MediCare Solutions GmbH. The scope of work includes but is not limited to: assessment and diagnosis of speech, language, voice, and swallowing disorders; development and implementation of individualized therapy plans; delivery of direct therapeutic sessions; documentation of patient progress; and participation in multidisciplinary team meetings held at the Frankfurt clinic.

The Speech Therapist engaged under this Purchase Order must hold a recognized qualification in Logopädie (Speech Therapy) as certified by the relevant German professional body and must be registered with the appropriate professional chamber in the state of Hesse. All services shall be rendered in accordance with the professional standards established by the German Association of Speech Therapists (VDB) and applicable regulations within Germany Frankfurt.

1. This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Germany Frankfurt.
2. The Speech Therapist shall maintain full professional liability insurance with a minimum coverage of EUR 2,000,000 per claim throughout the duration of this Purchase Order.
3. All patient data processed by the Speech Therapist in Germany Frankfurt must comply with the General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG). A Data Processing Agreement (DPA) is attached as Annex A to this Purchase Order.
4. The Speech Therapist shall provide a minimum of 14 calendar days' written notice for any absence or scheduling conflict. Failure to do so may result in a service credit of 10% of the affected session fee.
5. MediCare Solutions GmbH reserves the right to audit the Speech Therapist's documentation, billing records, and compliance with the scope defined in this Purchase Order upon 5 business days' notice.
6. Payment shall be made via SEPA bank transfer to the account specified by the supplier. Invoices must reference this Purchase Order number (PO-2025-04871) to be processed in a timely manner.
7. This Purchase Order may be terminated by either party with 60 days' written notice. In the event of termination, all sessions already scheduled and confirmed shall be completed, and payment shall be due for all services rendered up to the termination date.
8. The Speech Therapist shall adhere to all health and safety protocols established by the facility in Germany Frankfurt, including but not limited to infection control procedures, emergency evacuation plans, and accessibility requirements.
9. Any modifications to the scope, pricing, or duration of this Purchase Order must be documented in a written amendment signed by both parties. Verbal agreements shall not be binding.
10. The Speech Therapist warrants that all services provided under this Purchase Order shall be performed with the degree of skill, care, and diligence expected of a qualified logopedic professional practicing in Germany Frankfurt.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Speech Therapist in Germany Frankfurt. This document constitutes a binding agreement effective from the date of the last signature.
