1. Scope of Purchase Order

This Purchase Order is issued by Delhi Children's Rehabilitation & Development Centre, New Delhi, India, to procure the professional services of a qualified Speech Therapist for a period of twelve (12) months. The engagement is intended to support the centre's ongoing programmes for children and adults with speech, language, and communication disorders. All services shall be rendered within the jurisdiction of India New Delhi, specifically at the centre's premises in Rohini, New Delhi, and at approved satellite locations across the National Capital Territory of Delhi (NCT).

3. Terms and Conditions

This Purchase Order constitutes a binding agreement between the Purchasing Party and the Supplier upon countersignature. All terms are governed by the laws of the Republic of India, and any disputes shall be resolved through arbitration in India New Delhi in accordance with the Arbitration and Conciliation Act, 1996.
The Speech Therapist or therapists engaged under this Purchase Order must hold valid registration with the Rehabilitation Council of India (RCI) and possess a minimum of three (3) years of post-qualification clinical experience in paediatric and adult speech-language pathology.
All therapy sessions, assessments, and home visits shall be conducted within the geographical boundaries of India New Delhi, including the districts of South Delhi, North Delhi, East Delhi, West Delhi, and Central Delhi, as well as the National Capital Territory.
Payment shall be made on a monthly basis within fifteen (15) days of receipt of an invoice and the corresponding monthly progress report. Payment shall be processed via NEFT/RTGS to the bank account designated by the Supplier.
The Supplier shall ensure that the assigned Speech Therapist complies with all data-privacy requirements under the Digital Personal Data Protection Act, 2023, and shall maintain strict confidentiality of all patient records and clinical notes.
The Purchasing Party reserves the right to request a replacement of the Speech Therapist with reasonable notice (minimum 15 working days) in the event of sustained underperformance, as documented in the monthly review process.
This Purchase Order may be terminated by either party with a written notice of thirty (30) days. In the event of termination, the Supplier shall be compensated for services rendered up to the effective date of termination.
All therapy materials and assistive devices procured under Item No. 6 shall become the property of the Purchasing Party upon delivery and acceptance.
The Supplier shall carry professional indemnity insurance of not less than INR 50,00,000 covering all Speech Therapist personnel engaged under this Purchase Order, valid throughout the term of the contract in India New Delhi.
Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal modifications shall not be enforceable.

4. Delivery and Commencement

The services under this Purchase Order shall commence on 1 July 2025 and shall continue until 30 June 2026, unless extended by mutual written consent. The primary Speech Therapist shall report to the centre's premises in Rohini, New Delhi, by 09:00 IST on the first working day of the engagement. All therapy materials and equipment listed under Item No. 6 shall be delivered and installed no later than 28 June 2025.

5. Acceptance and Authorization

By signing below, both parties acknowledge that they have read, understood, and agreed to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of Speech Therapist services in India New Delhi.
