This Purchase Order is issued by Tokyo Metropolitan Health & Rehabilitation Services Corporation to formally procure the professional services of a licensed Speech Therapist for delivery at our facilities located in Japan Tokyo. The Speech Therapist shall provide comprehensive assessment, diagnosis, and therapeutic intervention for patients with speech, language, voice, and swallowing disorders. All services rendered under this Purchase Order must comply with the standards established by the Japan Speech-Language-Hearing Association and the Ministry of Health, Labour and Welfare of Japan.

Note: The Speech Therapist assigned to this contract must hold a valid national certification and a minimum of five (5) years of clinical experience in pediatric and adult speech therapy. All sessions shall be conducted in Japanese, with optional English-language support for international patients residing in Japan Tokyo.

Working Hours:	Monday through Friday, 09:00 – 17:30 JST (Speech Therapist on-site)

Payment shall be made in Japanese Yen (JPY) via bank transfer to the account designated by Shinagawa Speech & Language Therapy Institute Co., Ltd.
Invoices shall be submitted on the last business day of each calendar month for services rendered under this Purchase Order.
Payment is due within thirty (30) days from the date of invoice receipt. Late payments shall incur an interest charge of 1.5% per month.
A 10% advance payment of the total Purchase Order value (JPY 2,462,800) shall be transferred within five (5) business days of mutual signature of this document.
All prices are inclusive of consumption tax (10%) applicable in Japan Tokyo as of the date of this Purchase Order.

This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both authorized representatives.
The Speech Therapist assigned to this engagement shall maintain full professional liability insurance with a minimum coverage of JPY 100,000,000 per incident, valid throughout the service period in Japan Tokyo.
The Seller guarantees that the Speech Therapist will adhere to the ethical code of the Japan Speech-Language-Hearing Association and all applicable national and local regulations governing clinical practice in Japan Tokyo.
Confidentiality: All patient records, assessment data, and therapeutic progress notes generated under this Purchase Order shall be treated as strictly confidential and handled in accordance with Japan's Act on the Protection of Personal Information (APPI).
Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all Speech Therapist services rendered up to the effective date of termination.
The Seller shall provide a replacement Speech Therapist of equivalent or superior qualifications within five (5) business days should the originally assigned therapist become unavailable.
Disputes arising from this Purchase Order shall be resolved through mediation in Japan Tokyo, and if unresolved, through the Tokyo District Court.
This Purchase Order is governed by the laws of Japan, with particular reference to regulations applicable to healthcare service procurement in Japan Tokyo.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Speech Therapist services in Japan Tokyo.
