All Speech Therapist services outlined in this Purchase Order shall be delivered at the Almaty Speech & Language Therapy Clinic LLP facility located at 18 Dostyk Avenue, Kazakhstan Almaty, or at such other approved locations within the Almaty metropolitan area as mutually agreed upon in writing. The service period commences on 1 July 2025 and concludes on 30 June 2026, unless extended by a formal amendment to this Purchase Order. The Speech Therapist assigned to this engagement must hold a valid professional license issued by the Ministry of Health of the Republic of Kazakhstan and must possess a minimum of five (5) years of documented clinical experience in speech-language pathology.

• Payment shall be made in ten (10) equal monthly installments of 1,671,000 KZT, due on the 5th business day of each month following the completion of the corresponding service period.
• All payments under this Purchase Order shall be transferred via bank wire to the account of Almaty Speech & Language Therapy Clinic LLP at Kaspi Bank, Kazakhstan Almaty, Account No. KZ88 9910 0000 1234 5678.
• A 10% retention shall be withheld from each monthly payment and released in full upon satisfactory completion of the entire service period and final acceptance of all deliverables by the Purchasing Entity.
• Late payments shall incur a penalty of 0.5% per calendar day, in accordance with the Civil Code of the Republic of Kazakhstan.
• All amounts stated in this Purchase Order are exclusive of Value Added Tax (VAT) at the prevailing rate of 12% applicable in Kazakhstan.

The Speech Therapist and all supporting clinical staff engaged under this Purchase Order must meet the following requirements: (a) a recognized degree in Speech-Language Pathology or an equivalent field from an accredited institution; (b) current professional registration with the Kazakhstan Medical Chamber; (c) completion of continuing professional development (CPD) hours as mandated by the Almaty Municipal Health Authority; and (d) adherence to all data protection and patient confidentiality regulations under Kazakhstani law. The Service Provider shall submit copies of all relevant licenses, certifications, and insurance documents prior to the commencement of services.

Either party may terminate this Purchase Order with thirty (30) days written notice in the event of material breach by the other party that remains uncured after a fourteen (14) day remediation period. In the event of a dispute arising from or relating to this Purchase Order, the parties shall first attempt resolution through good-faith negotiation. Should negotiation fail, the dispute shall be submitted to the Arbitration Center of the Astana International Financial Centre, Kazakhstan Almaty, in accordance with its rules of procedure. The governing law of this Purchase Order shall be the laws of the Republic of Kazakhstan.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the procurement of Speech Therapist services in Kazakhstan Almaty. This document constitutes a binding agreement effective from the date of the last signature.
