Terms and Conditions

1. Scope of Engagement: This Purchase Order authorizes the procurement of Speech Therapist services as described in the line items above. The Speech Therapist shall be engaged on a full-time basis for an initial contract period of twelve (12) months, commencing on 01 August 2025, at the Neurologic Care Partners LLC facility in Russia Moscow. The Speech Therapist shall report directly to the Head of Clinical Services and shall adhere to all institutional policies and Russian Federation medical practice regulations.

2. Qualification Requirements: The Speech Therapist must hold a degree in Speech-Language Pathology or a closely related field from an accredited Russian or internationally recognized university. A valid specialist license (attestation) issued by the Ministry of Health of the Russian Federation is mandatory. The Speech Therapist must demonstrate proficiency in both Russian and English to accommodate the bilingual patient population served at the Russia Moscow location.

3. Payment Terms: Payment for services rendered under this Purchase Order shall be made within thirty (30) calendar days of receipt of a valid invoice from the vendor. Payments shall be processed via bank transfer to the account designated by Moscow Speech & Language Therapy Center. All amounts are stated in Russian Rubles (RUB) and are inclusive of applicable taxes unless otherwise noted.

4. Service Location: All Speech Therapist services shall be performed at the Neurologic Care Partners LLC clinic located at 12 Tverskaya Street, Building 4, Moscow, Russia 125009. The Speech Therapist is expected to be present on-site during agreed clinical hours, Monday through Friday, 09:00 to 18:00 Moscow Standard Time.

5. Confidentiality and Data Protection: The Speech Therapist shall comply with all provisions of Federal Law No. 152-FZ on Personal Data and shall maintain strict confidentiality regarding all patient records, clinical notes, and proprietary treatment methodologies. No patient information shall be disclosed to third parties without written consent in accordance with Russian data protection law.

6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Speech Therapist shall complete all in-progress patient sessions and hand over clinical documentation to the designated successor within the notice period.

7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Russian Federation. Any disputes arising from this Purchase Order shall be resolved through arbitration in Moscow, Russia.
