1. Scope of Services: This Purchase Order authorizes the procurement of qualified Speech Therapist professional services to be delivered at the Northern Capital Health & Rehabilitation Center located in Russia Saint Petersburg. The Speech Therapist(s) engaged under this Purchase Order shall provide evidence-based speech-language pathology services in accordance with the Federal Law of the Russian Federation No. 323-FZ "On the Fundamentals of Health Protection of Citizens in the Russian Federation" and all applicable regulations of the Ministry of Health of the Russian Federation.
2. Qualification Requirements: The Speech Therapist assigned under this Purchase Order must hold a minimum of a Specialist degree (Specialist) in Speech Pathology or Logopedics from an accredited Russian university, possess a valid professional certification issued by the Russian Association of Speech-Language Pathologists, and have no fewer than five (5) years of documented clinical experience. All Speech Therapist personnel must pass a medical examination and background check prior to commencing duties at the Russia Saint Petersburg facility.
3. Service Delivery: All Speech Therapist services shall be rendered on-site at the designated facility in Russia Saint Petersburg unless otherwise agreed in writing. The Speech Therapist shall maintain detailed clinical records for each patient in compliance with Russian data protection law (152-FZ "On Personal Data"). Session schedules shall be coordinated with the facility's clinical director no later than the first business day of each month.
4. Payment and Invoicing: The Vendor shall submit monthly invoices to the Buyer within five (5) business days of the end of each calendar month. Payment for all Speech Therapist services and associated materials listed in this Purchase Order shall be made via bank transfer to the account specified above within fifteen (15) business days of invoice receipt. Late payments shall accrue interest at the rate of 0.05% per day as stipulated by Article 317.1 of the Civil Code of the Russian Federation.
5. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Vendor for all Speech Therapist services rendered up to the effective date of termination. The Vendor shall ensure a minimum of two (2) weeks of transition support to facilitate continuity of patient care for all Speech Therapist caseloads.
6. Confidentiality and Data Protection: The Speech Therapist and all associated personnel shall maintain strict confidentiality of all patient records and clinical information. Any breach of patient privacy shall constitute grounds for immediate termination of this Purchase Order and may result in legal action under applicable Russian law.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Russian Federation. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Arbitration Court of Saint Petersburg and Leningrad Oblast.
