This Purchase Order is issued by Centro de Rehabilitación Infantil Levante S.L. to Clínica Logopedia Valencia Profesional S.L. for the provision of professional Speech Therapist services within the community of Spain Valencia. The Speech Therapist assigned to this contract must hold a valid degree in Logopedia (Speech Therapy) from an accredited Spanish university, possess a minimum of five (5) years of clinical experience in paediatric speech therapy, and maintain active registration with the relevant professional body in Spain Valencia. The Speech Therapist shall also demonstrate proficiency in both Spanish and Valencian (Catalan) to ensure full accessibility for all patients in the Spain Valencia region.

4.1 This Purchase Order is governed by the Spanish Civil Code and the applicable commercial regulations of the Comunidad Valenciana. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Valencia, Spain Valencia, unless both parties agree in writing to alternative dispute resolution.
4.2 The Speech Therapist shall maintain full professional liability insurance with a minimum coverage of 300,000 EUR, valid throughout the duration of this Purchase Order. Proof of insurance must be provided prior to the commencement of services.
4.3 All Speech Therapist services shall be conducted in compliance with the Spanish Data Protection Act (LOPDGDD) and the EU General Data Protection Regulation (GDPR). Patient records and clinical data collected during therapy sessions in Spain Valencia shall be stored securely and shall not be transferred outside the European Economic Area without explicit written consent.
4.4 The Speech Therapist is required to submit a detailed treatment plan for each patient within ten (10) business days of the initial assessment. The plan shall outline therapeutic objectives, expected duration of therapy, and measurable milestones.
4.5 Cancellation of any scheduled Speech Therapist session must be communicated no later than 48 hours in advance. Sessions cancelled with less than 48 hours' notice shall be billed at 50% of the session fee.
4.6 The supplier shall not subcontract any portion of the Speech Therapist services without prior written approval from the buyer. Any approved subcontractor must meet the same professional qualifications and regulatory requirements specified in this Purchase Order.
5. PAYMENT TERMSPayment shall be made via direct bank transfer (SEPA) to the supplier's designated account in Spain Valencia. Invoices are to be submitted monthly, no later than the 5th business day of the following month. Payment terms are net 30 days from the date of invoice receipt. Late payments shall accrue interest at the rate established by the Spanish Law on Late Payment in Commercial Transactions (Ley 3/2004). The total value of this Purchase Order is thirty-one thousand and thirty-six euros and fifty cents (€31,036.50), inclusive of VAT.
6. DELIVERY AND PERFORMANCE SCHEDULEServices under this Purchase Order shall commence on 1 July 2025 and shall continue through 30 June 2026, unless terminated earlier in accordance with the provisions herein. The Speech Therapist shall be available for in-clinic sessions at the buyer's facility in Spain Valencia on Monday, Wednesday, and Friday between 09:00 and 17:00. Home-visit sessions shall be scheduled by mutual agreement, with a minimum of five (5) business days' notice.
7. ACCEPTANCE AND AUTHORIZATIONBy signing below, both parties acknowledge and accept all terms, conditions, and specifications outlined in this Purchase Order for Speech Therapist services in Spain Valencia. This document constitutes a binding agreement between the parties upon execution.
