4.1 Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Statistician (Supplier) within ten (10) business days of the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
4.2 Performance Location: All services rendered under this Purchase Order shall be performed at the premises of the Federal Statistical Office located at 12 Rue de la Loi, 1040 Belgium Brussels, unless otherwise agreed in writing. The Statistician shall be required to be physically present in Belgium Brussels for a minimum of four (4) days per week during the active engagement period.
4.3 Payment Terms: Payment shall be made in three (3) equal instalments: 40% upon acceptance of this Purchase Order, 40% upon completion of Phase II deliverables, and 20% upon final acceptance of all reports. All payments shall be processed via bank transfer to the account designated by the Statistician. Invoices must reference this Purchase Order number (PO-BE-2025-04782) to be processed.
4.4 Intellectual Property: All statistical models, datasets, reports, and analytical outputs produced by the Statistician in the course of fulfilling this Purchase Order shall become the exclusive property of the Federal Statistical Office – Brussels Region. The Statistician retains the right to reference the engagement in professional portfolios, subject to a 90-day confidentiality embargo.
4.5 Confidentiality and Data Protection: The Statistician shall adhere to all confidentiality obligations imposed by Belgian law and EU regulations. No data collected in Belgium Brussels under this Purchase Order shall be disclosed to third parties without prior written consent from the Purchasing Authority. A separate Non-Disclosure Agreement (NDA) shall be executed concurrently with this Purchase Order.
4.6 Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Statistician shall be compensated for all services rendered up to the effective date of termination, and all work-in-progress materials shall be delivered to the Buyer.
4.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Belgium. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Belgium Brussels.
4.8 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting Belgium Brussels.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This document constitutes the complete and final agreement between the parties with respect to the engagement of the Statistician for the services described herein.
