This Purchase Order is issued by Kyoto Advanced Research Institute (hereinafter referred to as the "Buyer") to Meridian Statistical Consulting Group Co., Ltd. (hereinafter referred to as the "Seller") for the professional engagement of a qualified Statistician to provide comprehensive statistical analysis, data modeling, and research support services. The Statistician shall be physically based in the Japan Kyoto metropolitan area and shall conduct all primary work activities at the Buyer's principal laboratory facility located in Sakyo-ku, Japan Kyoto. The scope of the Statistician's duties encompasses but is not limited to: designing experimental frameworks, performing multivariate regression analyses, developing Bayesian predictive models for genomic sequencing data, conducting quality assurance audits on existing datasets, and preparing peer-review-ready statistical reports for publication in international journals. The Statistician must hold a minimum of a Master's degree in Statistics, Biostatistics, or a closely related quantitative discipline, and must demonstrate a minimum of seven (7) years of post-graduate professional experience in applied statistical research. Fluency in both Japanese and English is a mandatory requirement, as all documentation, interdepartmental communications, and client presentations within the Japan Kyoto research consortium will be conducted in both languages.

3. DELIVERY AND COMMENCEMENT SCHEDULE

The Statistician shall commence all duties no later than 1 August 2025 at the Buyer's facility in Japan Kyoto. A structured onboarding period of fourteen (14) calendar days shall precede the commencement of independent analytical work. During this onboarding phase, the Statistician will familiarize themselves with the Buyer's proprietary datasets, internal coding standards, and the specific research objectives of the ongoing Japan Kyoto Genomic Initiative. Milestone deliverables are scheduled as follows: preliminary data audit report by 30 September 2025; first-phase regression model deliverables by 15 December 2025; comprehensive Bayesian model validation by 28 March 2026; and final statistical summary report by 30 July 2026. All deliverables must be submitted in both Japanese and English to ensure full compliance with the Japan Kyoto research consortium's bilingual reporting standards.

4. TERMS AND CONDITIONS

  1. This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon execution by both authorized signatories. All terms herein shall be governed by the laws of Japan, with the Japan Kyoto District Court holding exclusive jurisdiction over any disputes arising from this Purchase Order.
  2. The Seller warrants that the Statistician engaged under this Purchase Order shall maintain all necessary professional certifications, including but not limited to membership in the Japanese Society of Statistics and the Japan Statistical Society, throughout the entire contract duration.
  3. Confidentiality: The Statistician shall be bound by a strict non-disclosure agreement covering all proprietary data, research methodologies, and unpublished findings encountered during the engagement in Japan Kyoto. Breach of confidentiality shall result in immediate termination of this Purchase Order and financial penalties as stipulated in the separate NDA document (Ref: NDA-JK-2025-0112).
  4. Intellectual Property: All statistical models, algorithms, and analytical frameworks developed by the Statistician during the course of this Purchase Order shall be the exclusive intellectual property of the Buyer, Kyoto Advanced Research Institute, Japan Kyoto.
  5. Payment: Invoices shall be submitted monthly in arrears. Payment shall be processed within forty-five (45) calendar days of invoice receipt via bank transfer to the Seller's designated account. Late payments shall accrue interest at a rate of 1.5% per month as permitted under Japanese commercial law.
  6. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach by the Seller, the Buyer reserves the right to terminate immediately upon written notice, with no obligation for further payment beyond services rendered up to the termination date.
  7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting the Japan Kyoto region, government-mandated closures, or pandemics.
  8. Amendments: Any modifications to this Purchase Order must be made in writing and signed by both parties. Verbal agreements or informal communications shall not alter the terms of this document.
