The Statistician engaged under this Purchase Order must hold a minimum of a Master's degree in Statistics, Applied Mathematics, or a closely related quantitative discipline, and must possess a minimum of eight (8) years of professional experience in statistical consulting. The Statistician shall operate primarily from the Buyer's office premises located in the Centrum district of Netherlands Amsterdam, with the option of remote work not exceeding two (2) days per week, subject to prior written approval from the Buyer's project management team.

- Scope of Work: The Statistician shall perform all duties and deliverables as outlined in the attached Statement of Work (SOW-2025-AMST-0047), which forms an integral part of this Purchase Order. All statistical analyses, models, and reports produced by the Statistician shall be conducted in accordance with the highest professional standards recognized in the Netherlands and the European Union.
- Place of Performance: All services under this Purchase Order shall be rendered in and around Netherlands Amsterdam. The Statistician acknowledges that the primary work location is the Buyer's headquarters at Herengracht 450, Amsterdam, and that all deliverables must comply with local Dutch labor and professional regulations governing the practice of statistics in the Netherlands.
- Intellectual Property: All statistical models, datasets, algorithms, reports, and analytical outputs created by the Statistician in the course of fulfilling this Purchase Order shall be the sole and exclusive property of the Buyer. The Statistician grants the Buyer a perpetual, irrevocable, and royalty-free license to use, modify, and distribute all such intellectual property.
- Confidentiality: The Statistician shall maintain strict confidentiality regarding all data, proprietary information, and business strategies disclosed by the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years. The Statistician shall comply with the General Data Protection Regulation (GDPR) and the Dutch Implementation Act (UAVG) in all data handling activities performed in Netherlands Amsterdam.
- Payment Schedule: Payment shall be made in monthly installments of € 14,308.25 (inclusive of VAT), due within thirty (30) days of receipt of a valid invoice from the Supplier. The first payment shall be due upon the Statistician's commencement of services on 01 September 2025. All payments shall be made via bank transfer to the Supplier's designated account in the Netherlands.
- Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Buyer shall pay for all services rendered by the Statistician up to the effective date of termination. The Statistician shall return all Buyer property, data, and materials within fourteen (14) days of the termination notice.
- Compliance with Dutch Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Amsterdam, Netherlands. The Statistician shall comply with all applicable Dutch employment, tax, and professional licensing requirements.
- Performance Standards: The Statistician shall meet all project milestones and deliverable deadlines as specified in the SOW. Failure to meet performance standards for two (2) consecutive months shall constitute a material breach of this Purchase Order, entitling the Buyer to seek remedies as provided under Dutch contract law.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in Netherlands Amsterdam.
- Entire Agreement: This Purchase Order, together with the attached SOW and any subsequent amendments in writing, constitutes the entire agreement between the parties regarding the engagement of the Statistician and supersedes all prior negotiations, representations, and agreements.
