This Purchase Order is issued by Gulf Analytics & Research Consortium LLC (hereinafter referred to as the "Buyer") to engage the services of Dr. Amira Khalid Al-Farsi, a certified and licensed Statistician (hereinafter referred to as the "Statistician" or the "Seller"), for the provision of advanced statistical consulting, data analysis, and quantitative research services within the jurisdiction of United Arab Emirates Dubai. The Statistician shall deliver all professional services in accordance with the scope, deliverables, and timelines specified in this Purchase Order and the attached Statement of Work (SOW-2025-114).
The Statistician is engaged to perform the following specific duties and deliverables:

3.1 Governing Law and Jurisdiction: This Purchase Order and all services rendered under it shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the Federal Law No. 18 of 1993 (Civil Transactions Law) as amended, and the commercial regulations applicable in Dubai, United Arab Emirates. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Dubai Courts or, at the Buyer's election, the Dubai International Financial Centre (DIFC) Courts.
3.2 Commencement and Completion: The Statistician shall commence services no later than 1 July 2025. All deliverables must be completed by 30 September 2025 unless otherwise agreed in writing. The Statistician shall provide a written progress report to the Buyer every two weeks.
3.3 Payment Terms: Payment shall be made in three (3) instalments: (a) 40% (AED 65,310.00) upon execution of this Purchase Order; (b) 40% (AED 65,310.00) upon delivery and acceptance of the multivariate model and survey analysis deliverables; and (c) 20% (AED 32,655.00) upon final acceptance of all remaining deliverables. All payments shall be made via bank transfer to the Statistician's designated account in United Arab Emirates Dubai. Payment is due within fourteen (14) calendar days of invoice receipt.
3.4 Intellectual Property: All statistical models, code, reports, and analytical outputs produced by the Statistician under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Statistician retains the right to reference the engagement in professional portfolios, subject to the Buyer's prior written approval and any non-disclosure obligations.
3.5 Confidentiality: The Statistician shall treat all data, proprietary information, and business strategies of the Buyer as strictly confidential. This obligation survives the termination of this Purchase Order for a period of three (3) years. The Statistician shall comply with the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data.
3.6 Professional Qualifications and Licensing: The Statistician warrants that she holds a valid professional license to practice statistics in the United Arab Emirates Dubai, issued by the relevant regulatory authority, and that she maintains professional indemnity insurance with a minimum coverage of AED 2,000,000 for the duration of this Purchase Order.
3.7 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Statistician shall be compensated for all services rendered up to the date of termination, and all work-in-progress deliverables shall be handed over to the Buyer.
3.8 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting United Arab Emirates Dubai.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding commercial agreement for the procurement of Statistician professional services in United Arab Emirates Dubai.
