The Surgeon engaged under this Purchase Order shall provide all surgical and medical services at the Medicor Argentina S.A. surgical center located at Av. Corrientes 2340, Buenos Aires, Argentina. The Surgeon is expected to maintain a minimum availability of 60 hours per week, including scheduled operating room time, consultation hours, and on-call emergency response. All surgical procedures shall be conducted in accordance with the clinical protocols approved by the Buenos Aires Provincial Health Authority and the Argentine College of Surgeons (Sociedad Argentina de Cirugía).
The Surgeon shall maintain valid professional liability insurance with a minimum coverage of ARS 50,000,000.00, as required by the regulatory framework governing medical practice in Buenos Aires, Argentina. The Surgeon shall also ensure that all surgical instruments, implants, and consumables used during procedures comply with ANMAT registration requirements.
3.1 Payment shall be made within thirty (30) calendar days from the date of receipt of a valid invoice (Factura A) issued by the Surgeon or their authorized representative. Invoices must include the CUIT/CUIL number, the applicable IVA rate, and a detailed breakdown of services rendered.
3.2 Payment shall be processed via bank transfer to the account designated by the Surgeon. The bank must be domiciled in Argentina, Buenos Aires, or another jurisdiction within the Argentine financial system.
3.3 A retention of five percent (5%) of each monthly payment shall be held until the completion of the full contractual period and satisfactory closure of all post-operative follow-up obligations.
3.4 In the event of non-compliance with the quality standards outlined in this Purchase Order, Medicor Argentina S.A. reserves the right to withhold payment for the affected line items pending resolution of the matter.
This Purchase Order is governed by the laws of the Argentine Republic, with specific application of the regulations of the Province of Buenos Aires. The Surgeon acknowledges and agrees to comply with all applicable provisions of the Argentine Civil and Commercial Code, the National Health Law (Ley 26.529), and the professional ethics code of the Colegio de Médicos de la Ciudad de Buenos Aires. Any dispute arising from this Purchase Order shall be resolved through the competent courts of the city of Buenos Aires, Argentina.
IMPORTANT NOTICE: This Purchase Order does not constitute an employment relationship. The Surgeon is engaged as an independent professional service provider (monotributista or general regime taxpayer) under Argentine labor and tax law. All social security contributions, professional taxes, and mandatory withholdings are the sole responsibility of the Surgeon unless otherwise stipulated in a separate agreement.By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. The Surgeon confirms that they hold a valid medical license issued by the Colegio de Médicos de Buenos Aires and that they possess the requisite surgical training and experience to perform the procedures outlined herein.
