This Purchase Order is issued by Harbourview Medical Centre, located in Australia Sydney, to formally engage the services of Dr. James R. - Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia. All disputes arising from this Purchase Order relating to the engagement of the Surgeon shall be subject to the exclusive jurisdiction of the courts of Australia Sydney, New South Wales.
- Professional Registration and Compliance: The Surgeon warrants that he holds a valid medical registration with the Australian Health Practitioner Regulation Agency (AHPRA) and maintains current membership with the Royal Australasian College of Surgeons. The Surgeon shall comply with all clinical governance standards, the National Safety and Quality Health Service (NSQHS) Standards, and all applicable regulations of the New South Wales Health Care Complaints Commission.
- Insurance and Indemnity: The Surgeon shall maintain professional indemnity insurance with a minimum cover of AUD $20,000,000 per claim throughout the duration of this Purchase Order. The Surgeon shall indemnify and hold harmless Harbourview Medical Centre against any claims, losses, or liabilities arising from the Surgeon's professional negligence or breach of duty.
- Payment Terms: Invoices submitted by the Surgeon's practice in accordance with this Purchase Order shall be paid within thirty (30) calendar days of receipt of a valid tax invoice. Payment shall be made via electronic funds transfer (EFT) to the bank account nominated by the Surgeon. All amounts are stated in Australian Dollars (AUD) and are inclusive of the Goods and Services Tax (GST) as applicable under Australian tax law.
- Confidentiality and Patient Privacy: The Surgeon shall strictly adhere to the Privacy Act 1988 (Cth), the Australian Privacy Principles (APPs), and the New South Wales Health Records and Information Privacy Act 2002. All patient records, clinical data, and operational information obtained in the course of this Purchase Order shall be treated as confidential and shall not be disclosed to any third party without written consent.
- Performance Standards: The Surgeon shall maintain a minimum patient satisfaction score of 90% as measured by the hospital's quarterly patient experience surveys. The Surgeon shall participate in all mandatory continuing professional development (CPD) activities and surgical competency assessments as required by the hospital's clinical governance framework.
- Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. Harbourview Medical Centre reserves the right to terminate this Purchase Order immediately in the event of a material breach, loss of medical registration, or any conduct that brings the profession into disrepute.
- Work Health and Safety: The Surgeon shall comply with all Work Health and Safety (WHS) obligations under the Work Health and Safety Act 2011 (NSW) and the hospital's internal safety policies while performing duties on the premises in Australia Sydney.
The services described in this Purchase Order shall commence on 1 July 2025 and shall continue on a rolling quarterly basis for an initial term of twelve (12) months, subject to renewal by mutual written agreement. The Surgeon shall report to the Surgical Department, Level 4, Harbourview Medical Centre, 45 Macquarie Street, Sydney, NSW 2000, Australia Sydney, on the scheduled operating days as agreed in the attached roster (Appendix A).
This Purchase Order is issued under the authority of the Chief Executive Officer of Harbourview Medical Centre and has been reviewed and approved by the Hospital's Procurement and Contracts Committee in accordance with the New South Wales Government Procurement Policy. The Surgeon's acceptance of this Purchase Order constitutes full agreement to all terms, conditions, and obligations set forth herein.
