All items specified in this Purchase Order shall be delivered to the Montreal General Surgical Centre premises at 1450 Rue Sainte-Catherine Ouest, Canada Montreal, Quebec, no later than August 15, 2025. The Supplier is responsible for all shipping, handling, and insurance costs associated with the transport of surgical equipment to the Canada Montreal facility. Installation of the 4K Surgical Endoscopy Camera System, the Electrocautery Unit, and the Portable Surgical Light shall be performed by certified technicians from MedEquip Canada Inc. on-site in Canada Montreal, with a minimum of two (2) hours of hands-on training provided to the designated Surgeon, Dr. Sophie Marchand, and her assisting nursing staff. All equipment must arrive in new, unopened condition with full manufacturer warranties intact.

Payment for this Purchase Order shall be made in accordance with the following schedule: a deposit of thirty percent (30%) of the total amount, equivalent to $33,264.69 CAD, is due upon execution of this Purchase Order. The remaining seventy percent (70%), equivalent to $77,617.60 CAD, shall be due within thirty (30) calendar days following confirmed delivery, installation, and successful acceptance inspection of all items at the Canada Montreal facility. Payment shall be made via electronic funds transfer (EFT) to the Supplier's designated bank account. Late payments shall incur interest at the rate of 1.5% per month as stipulated under the Quebec Civil Code and applicable commercial law in Canada Montreal.

The Supplier warrants that all surgical instruments, devices, and consumables listed in this Purchase Order are manufactured in full compliance with the Medical Devices Regulations (SOR/98-282) of Canada, the applicable standards of Health Canada, and the quality control requirements set forth by the Collège des médecins du Québec. Each item must bear the appropriate Medical Device License (MDL) number and, where applicable, the European CE marking or FDA clearance documentation. The Surgeon, Dr. Sophie Marchand, reserves the right to inspect and reject any item that does not meet the specified clinical standards or that fails to conform to the descriptions provided in this Purchase Order. Rejected items must be replaced at no additional cost to the purchasing entity within fourteen (14) business days.

All capital equipment procured under this Purchase Order carries a minimum manufacturer warranty of three (3) years from the date of installation in Canada Montreal. The Supplier shall provide a dedicated after-sales support line accessible during standard business hours (Monday through Friday, 8:00 AM to 6:00 PM, Eastern Time) for the duration of the warranty period. Preventive maintenance visits shall be conducted semi-annually at the Canada Montreal facility at no additional charge. Consumable items, including disposable gowns, gloves, and surgical stapler reloaders, are covered by a quality guarantee ensuring they meet or exceed the specifications outlined in the accompanying product data sheets.

This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable in Canada Montreal. Any disputes arising from this Purchase Order shall be resolved through mediation in Canada Montreal before proceeding to litigation in the competent courts of the Judicial District of Montreal. This Purchase Order constitutes the entire agreement between the parties with respect to the procurement of the described Surgeon equipment and supersedes all prior negotiations, representations, or agreements. No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. The Supplier acknowledges that the procured items are intended exclusively for the professional use of a licensed Surgeon in a regulated medical facility in Canada Montreal and shall not be resold, transferred, or repurposed without written consent from the purchasing entity.

NOTE: This Purchase Order has been reviewed and approved in accordance with the internal procurement policies of Montreal General Surgical Centre and the financial regulations applicable to medical institutions operating in Canada Montreal. All items are subject to final acceptance by the designated Surgeon prior to the release of the final payment installment.
