All items listed in this Purchase Order shall be delivered to the St. Michael's Surgical Centre facility located in Canada Toronto, Ontario. The supplier is responsible for all freight, insurance, and handling costs associated with the transportation of surgical equipment to the designated Canada Toronto address. Delivery must be completed no later than July 15, 2025. Upon arrival, the supplier's certified biomedical engineering team shall perform on-site installation, calibration, and operational verification of all major equipment, including the robotic-assisted surgical arm and the 4K 3D endoscopic camera system, to ensure full compliance with the Surgeon's operational requirements and the standards set forth by Health Canada and the Ontario College of Physicians and Surgeons.

This Purchase Order is governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto. Any disputes arising from this Purchase Order shall be resolved through arbitration in Canada Toronto in accordance with the rules of the Arbitration Association of Canada.
All surgical instruments and equipment procured under this Purchase Order must meet or exceed the quality standards established by Health Canada and must carry valid Medical Device Licences (MDL) prior to delivery to the Surgeon's operating facility.
The supplier warrants that all items are new, unused, and free from defects in material and workmanship for a period of no less than twenty-four (24) months from the date of delivery to the Canada Toronto facility.
Payment shall be remitted via electronic funds transfer (EFT) to the supplier's designated Canadian bank account within forty-five (45) calendar days of receipt of a valid invoice, subject to satisfactory inspection and acceptance of all items by the Surgeon's department head.
The supplier shall provide comprehensive training for the Surgeon and all supporting surgical staff on the operation, maintenance, and safety protocols of all delivered equipment. Training sessions shall be conducted at the Canada Toronto facility and shall not exceed three (3) business days per major system.
Any modification, cancellation, or amendment to this Purchase Order must be made in writing and signed by both the authorized representative of the issuing facility and the supplier. Verbal agreements are not binding.
The supplier shall maintain full product liability insurance with a minimum coverage of CAD $5,000,000 per occurrence for the duration of the warranty period, with the Canada Toronto facility named as an additional insured party.
All packaging materials must comply with the City of Canada Toronto's waste management regulations. The supplier is responsible for the removal and proper disposal of all packaging upon installation completion.
Confidentiality: All proprietary information exchanged in connection with this Purchase Order, including the Surgeon's clinical protocols and the supplier's technical specifications, shall be treated as confidential and shall not be disclosed to third parties without prior written consent.

This Purchase Order is hereby authorized and approved for execution. The undersigned confirm that the terms, conditions, and itemized costs outlined above have been reviewed and accepted. This document constitutes a binding agreement between the issuing medical facility in Canada Toronto and the named supplier for the procurement of surgical equipment for the Surgeon's department.
