This Purchase Order is issued by the Centre Hospitalier Universitaire de Kinshasa (CHUK) for the engagement of a qualified Surgeon to provide specialized surgical services at the hospital's main surgical theatre and outpatient surgical unit located in Gombe, DR Congo Kinshasa. The Surgeon shall be responsible for performing, supervising, and managing all general and vascular surgical procedures as outlined in the attached clinical schedule. This Purchase Order covers a contract period of twelve (12) months commencing 1 August 2025 and concluding 31 July 2026, subject to renewal by mutual written agreement.

Payment for this Purchase Order shall be made in United States Dollars (USD) via bank transfer to the account designated by the Surgeon. Monthly professional fees (Items 01, 02, 03, and 05) shall be invoiced on the first business day of each month and are payable within thirty (30) calendar days of invoice receipt. The one-time equipment provision (Item 04) shall be invoiced upon delivery and installation, payable within fifteen (15) days. Quarterly CME fees (Item 06) shall be reimbursed upon submission of valid receipts. All payments are subject to applicable withholding tax under the tax code of the Democratic Republic of Congo. Late payments shall accrue interest at a rate of 1.5% per month.
6.1. The Surgeon shall maintain valid medical licensure with the Ordre des Médecins de la RDC throughout the entire contract period and shall provide proof of renewal upon request by CHUK administration.
6.2. The Surgeon shall comply with all clinical protocols, infection control standards, and patient safety guidelines established by CHUK and the Ministry of Health of the DR Congo.
6.3. All surgical procedures performed under this Purchase Order shall be documented in the patient's medical record in accordance with DR Congo national health regulations.
6.4. The Surgeon shall be available for a minimum of forty-five (45) clinical hours per week at the CHUK surgical facility in Kinshasa, DR Congo, including scheduled operating theatre time and outpatient surgical consultations.
6.5. CHUK reserves the right to audit surgical outcomes, patient satisfaction records, and procedural logs on a quarterly basis to ensure compliance with the standards outlined in this Purchase Order.
6.6. Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, all outstanding invoices for services rendered shall be settled within thirty (30) days.
6.7. This Purchase Order is governed by the laws of the Democratic Republic of Congo. Any disputes arising from this agreement shall be resolved through arbitration in Kinshasa, DR Congo, in accordance with the rules of the Kinshasa Chamber of Commerce.
6.8. The Surgeon shall carry professional medical malpractice insurance with a minimum coverage of USD 500,000 per occurrence, valid throughout the contract term, and shall provide a certificate of insurance to CHUK prior to the commencement date.
The Surgeon shall report to the CHUK surgical department in Gombe, Kinshasa, DR Congo, no later than 07:00 hours on 1 August 2025 for orientation, credentialing verification, and assignment to the operating theatre schedule. All specialized surgical instruments (Item 04) shall be delivered, installed, and calibrated at the CHUK facility no later than 25 July 2025. Failure to meet the commencement date without prior written approval from CHUK procurement shall constitute a material breach of this Purchase Order.
