This Purchase Order is issued by Frankfurt Medical Group GmbH to formally engage the services of Dr. Markus Steinbach, Surgeon, for a defined period of surgical procedures, consultations, and related medical oversight to be performed at the Frankfurt Medical Group surgical wing located in Germany Frankfurt. This Purchase Order governs all terms, conditions, compensation, and operational expectations for the Surgeon's engagement. The Surgeon shall provide all surgical services in strict compliance with the German Medical Professional Act (Berufsordnung der Ärztekammer Hessen), the German Patient Rights Act (Patientenrechtegesetz), and all applicable federal and state regulations governing surgical practice in Germany Frankfurt.

All services described in this Purchase Order shall be rendered exclusively at the Frankfurt Medical Group surgical facility, located at Hauptstraße 245, 60311 Frankfurt am Main, Germany Frankfurt. The Surgeon is required to be physically present at the Germany Frankfurt premises for all scheduled procedures, consultations, and on-call shifts. The Surgeon shall comply with all hospital protocols, infection control standards, and patient safety guidelines established by the facility and mandated by the German Federal Institute for Drugs and Medical Devices (BfArM). Any travel or relocation of the Surgeon outside the Germany Frankfurt operational zone requires prior written approval from the Buyer's Chief Medical Officer.
- Acceptance: This Purchase Order becomes binding upon written acceptance by the Surgeon. The Surgeon shall return a signed copy of this Purchase Order within five (5) business days of receipt to confirm engagement.
- Payment: Invoices submitted by the Surgeon shall be paid within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number (PO-2025-FRA-04872). Payment shall be made via SEPA bank transfer to the account designated by the Surgeon.
- Liability & Insurance: The Surgeon shall maintain valid professional medical malpractice insurance (Berufshaftpflichtversicherung) with a minimum coverage of €5,000,000 per claim throughout the duration of this Purchase Order. Proof of insurance shall be provided prior to the commencement of services in Germany Frankfurt.
- Confidentiality: The Surgeon shall adhere to all provisions of the German Federal Data Protection Act (Bundesdatenschutzgesetz, BDSG) and the EU General Data Protection Regulation (GDPR) regarding patient data. All patient records generated during the scope of this Purchase Order remain the property of Frankfurt Medical Group GmbH.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of gross professional misconduct, violation of German medical licensing regulations, or failure to meet the quality standards of the Germany Frankfurt facility, the Buyer reserves the right to terminate this Purchase Order immediately without notice.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation. If mediation fails, disputes shall be submitted to the competent civil court in Frankfurt am Main, Germany Frankfurt. The governing law is the law of the Federal Republic of Germany.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by both parties. Any change in scope, schedule, or compensation must be documented as an addendum to this Purchase Order.
- Regulatory Compliance: The Surgeon warrants that he holds a valid, unrestricted medical license (Approbation) issued by the Ärztekammer Hessen and that all services performed under this Purchase Order comply with the German Medical Professional Act and all applicable regulations in Germany Frankfurt.
The Surgeon's engagement under this Purchase Order shall commence on 1 July 2025 and shall continue for a period of three (3) months, concluding on 30 September 2025, unless extended by mutual written agreement. The Surgeon shall report to the Germany Frankfurt surgical facility no later than 07:00 CET on the first day of service. All surgical instruments, implants, and consumables required for procedures are to be procured separately by the Buyer and are not included in the value of this Purchase Order.
