This Purchase Order is issued by Namma Health Infrastructure Pvt. Ltd. for the engagement of a qualified and board-certified Surgeon to provide specialized surgical services at our medical facility located in India Bangalore. The Surgeon shall be responsible for performing, supervising, and managing all surgical procedures as outlined in the attached Scope of Work (Annexure A). The services shall be rendered in strict compliance with the Medical Council of India (MCI) regulations, the Karnataka State Medical Council guidelines, and all applicable healthcare standards mandated by the Government of India.
The Surgeon engaged under this Purchase Order must hold a valid Medical Registration Certificate (MRC) issued by the National Medical Commission (NMC), India, and possess a minimum of fifteen (15) years of post-qualification experience in general and laparoscopic surgery. The Surgeon shall maintain all necessary malpractice insurance coverage with a minimum liability of INR 5 Crore throughout the duration of this engagement.

- Scope of Engagement: The Surgeon shall perform all duties exclusively at the Namma Health Infrastructure facility situated in India Bangalore, Karnataka. Any off-site surgical procedures or telemedicine consultations must be pre-approved in writing by the Chief Medical Officer.
- Payment Terms: Payment shall be made on a monthly basis via NEFT/RTGS to the Supplier's designated bank account. Invoices must be submitted by the 5th of each month for the preceding month's services. Payment shall be processed within fifteen (15) working days of invoice receipt.
- Performance Standards: The Surgeon shall maintain a minimum patient satisfaction score of 90% as measured by quarterly internal audits. Failure to meet this standard for two consecutive quarters shall constitute grounds for termination of this Purchase Order with thirty (30) days' written notice.
- Compliance and Licensing: The Supplier warrants that the Surgeon holds all necessary registrations, licenses, and certifications required to practice surgery in India Bangalore and the state of Karnataka. Any lapse in licensure shall be reported to the Buyer within twenty-four (24) hours.
- Confidentiality: All patient records, surgical case files, and proprietary medical protocols accessed during the course of this Purchase Order shall remain strictly confidential. The Surgeon and the Supplier shall be bound by the Indian Medical Professional Conduct Regulations and the Digital Personal Data Protection Act, 2023.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In cases of gross professional misconduct, unprofessional behavior, or repeated violation of hospital protocols, the Buyer reserves the right to terminate immediately without notice.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in India Bangalore in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Bangalore, Karnataka, India.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of India, specifically the Indian Contract Act, 1872, and all applicable Karnataka state regulations pertaining to medical practice.
- Insurance: The Supplier shall maintain comprehensive professional indemnity insurance and public liability insurance for the Surgeon throughout the term of this Purchase Order. Certificates of insurance shall be provided to the Buyer upon request.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated lockdowns, or pandemics affecting operations in India Bangalore.
The Surgeon shall report for duty at the Namma Health Infrastructure facility in India Bangalore on or before 1 July 2025. The Supplier shall ensure that the Surgeon completes all onboarding procedures, including facility orientation, IT system access provisioning, and review of institutional surgical protocols, within the first seven (7) calendar days of commencement.
This Purchase Order is issued as a binding procurement document. By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth herein. This Purchase Order supersedes all prior negotiations, correspondence, and understandings between the parties regarding the engagement of the Surgeon in India Bangalore.
